4. 雙方的職責： Duties of two parties:
(1) 甲方所需的采購業務應提交給乙方詳細的采購產品信息，比如材質、尺寸、數量、品質等具體要求。Party A shall provide all the information of the purchasing products to Party B, such as material, size, quantity, quality and other concrete requirements.
乙方向甲方提供采購產品客戶信息，代理信息，代理租船顧問業務等。負責落實甲方采購產品資源，渠道和談成供貨意向一并介紹給甲方。

(2) 因甲方購買的產品涉及專利產權和產品生產者指定代理的情況，乙方負責促成甲方與產品生產者或產品生產者代理商之間簽署采購協議，實現貿易，并負責為甲方對采購產品取樣、驗貨、出貨等的環節進行服務。

5. 貨款的支付方式：Payment of goods
甲方購買的產品涉及專利產權或產品生產者指定代理的情況，甲方與產品生產者或產品生產者代理商之間直接簽署采購協議，貨款支付方式由協議雙方協商達成一致。

6. 傭金的計算、給付方式、給付時間： Commission calculation, payment methods, payment time 甲方同意按照采購產品總金額的（1-5）%支付傭金給乙方，支付日期為付款給賣方的'同一天，傭金匯入乙方指定銀行賬戶。如甲方以預付款或分期付款的形式向賣方支付貨款，在甲方向賣方支付第一筆貨款的同時向乙方全額支付采購產品總金額的傭金。

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not
be predicted, controlled, avoided or overcome by the relative party. However, the party

If Party B breaks any part of this contract, such as not paying the rent punctually, or causing additional expenses to Party A, Party A has the right to retain part of or all of

4.3 發生4.2條款情況，押金不足抵付時，乙方必須按接到甲方付款通知后 十日內補足。
If Clause 4.2 is brought into effect, and the said deposit is insufficient to cover Party A’s costs, Party B should pay the extra amount to Party A within ten days of receipt of Party A’s invoice notice.
4.4 押金以人民幣支付。甲方收到押金后付給乙方全額收據。

五、 其它費用:

六、 甲方的責任:

To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.
6.3 督促物業公司提供充分的保安、消防工作及安靜清潔的居住環境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.
6.4 督促管理公司向乙方提供所應提供的服務，如冷水、熱水、電的供應及
各種設備（包括空調）的正常工作，并提供公共區域和公共設施的`開放，如健身房、兒童房和其他娛樂場所。督促公共區域和公共設施的清潔；公共區域的照明并提供道路指示牌。督促道路和公共區域的維護；督促修理、保養和更換大廈的保安設施、消防設施、電器設施、變壓器、煤氣、排水、空調、電梯和其它設施。
To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.
6.5 保證物業的合法性，保證有合法權利出租該物業。

七、 乙方責任:

7.1 乙方應按本租約三、四、五條款規定交付租金，押金和各項費用，如有
拖欠，則作違約論。

7.2 租賃期內未經甲方同意，乙方不能轉租其所租房屋，私自轉讓無效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.
7.3 乙方應愛護房屋及其設備，如因使用不當導致損壞應負責賠償。
Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.
7.4 在房內已有的裝飾和設施之外，乙方如要增加設備或其他裝修須征得甲
方同意；租賃期滿必須恢復原狀如有損壞（正常使用磨損、結構或原有的問題除外），并承擔其費用，經甲方驗收認可后歸還甲方。
In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.
7.5 保證賠償由于乙方或乙方有關系的官員、上司、雇員、客人、來訪者、
雇傭工人、代理、執照持有者或被邀請人等（統稱與乙方相關的人）的粗心及疏忽造成的房屋的損害或損失，并允許甲方或其代理人在事先通知后進入房屋，對房屋的損失或損害進行彌補及修復，在此所發生的費用由乙方負擔。
To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.
7.6 在甲方預先通知后，乙方應允許甲方或其代理人在有理由的情況下在合

With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done. 7.9 房屋除供乙方居住之外，未經甲方書面同意，房屋不可作辦公或協議未

7.10 未經甲方書面同意，屋外不得擅自放置標示板及陳列任何設施，不允許

Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.
7.11 租客必須遵守物業條例準則，如出現糾紛需與業主來協商調解。

八、 房屋不能居住時其他事件:

房屋由于火災，惡劣天氣，戰爭或其它甲方不可抗拒因素，而不是
因為乙方直接或間接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時，乙方從該日起停止支付租金，直至房屋可再被使用及居住時為止，如該房屋因任何不能歸因于乙方的原因不能正常使用超過10天，乙方有權終止合同并無需承擔任何責任，甲方應退還剩余部分押金及預付租金。甲方根據自己的意愿及經濟、實際意義等原因，沒有義務必須修繕復原房屋。若此情況發生，甲方應書面通知乙方，并在作出上述通知的十天之內將押金及預付租金全部退還乙方。

II. 還有一類特殊的定義語句，即對于「單、復數」及「陰、陽性」名詞的范圍定義。通常都是用include來表達：

7. 市場情況報告 Reports on Market Conditions

Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall,from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.
8. 宣傳廣告費用 Advertising & Publicity Expenses
在本協議有效期內，乙方在上述經銷地區所作廣告宣傳的一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。
Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.
9. 協議有效期 Validity of Agreement
本協議經雙方簽字后生效，有效期為**天，自**至**.若一方希望延長本協議，則須在本協議期滿前1個月書面通知另一方，經雙方協商決定。
若協議一方未履行協議條款，另一方有權終止協議。

All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.
11. 其他條款 Other Terms & Conditions
（1） 甲方不得向經銷地區其他買主供應本協議所規定的商品。如有詢價，當轉達給乙方洽辦。若有買主希望從甲方直接訂購，甲方可以供貨，但甲方須將有關銷售確認書副本寄給乙方，并按所達成交易的發票金額給予乙方*%的傭金。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades. If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.
五、【爭議解決】
6. DISPUTE SETTLEMENT
各方在本協議履行過程中發生爭議的，應友好協商；協商不成的，應向該房地產所在地人民法院起訴。
Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.
六、【合同效力】
6. VALIDITY
本協議自甲、乙雙方簽署起對甲、乙生效，丙方簽署后對丙方生效，一式三份，甲、乙、丙三方各執一份。

INSPECTION: The certificate of quality issued by the China Entry-Exit Inspection and Quarantine Bureau shall be taken as the basis of delivery.

CLAIMS: In case discrepancy on the quality or quantity of the goods is found by the Buyer, after arrival of the goods at the port of destination, the Buyer may, within 30 days and 15 days respectively after arrival of the goods at the port of destination, lodge with the Seller a claim which should be supported by an Inspection Certificate issued by a public surveyor approved by the Seller. The Seller shall, on the merits of the claim, either make good the loss sustained by the Buyer or reject their claim, it being agreed that the seller shall not be held responsible for any loss or losses due to natural cause failing within the responsibility of Ship owners of the Underwriters. The Seller shall reply to the Buyer within 30 days after receipt of the claim.
索賠：買方發現貨物在質量和數量上有差異，貨物到達目的港后，買主可以，在30 天到15 天之內，在貨物抵達后在目地港，向賣方提出要求，要求應該被一份被賣方核準的公眾的檢查官發行的檢驗證書支援。賣方，在在賠償要求中，要么承受買方損失 要么拒絕索賠，經雙方同意，賣方將不承擔任何損失 或者 損失是由自然原因將或由船方造成的損失 賣方應在30天內答復買方。
LATE DELIVERY AND PENALTY: In case of late deliver, the Buyer shall have the right to cancel this contact, reject the goods and lodge a claim against the Seller. Except for Force Majeure, if late delivery occurs, the Seller must pay a penalty, and the Buyer shall have the right to lodge a claim against the Seller. The rate of penalty is charged at 0.5% for every 7 days, odd days less than 7 days should be counted by the paying bank or the Buyer from the payment.
遲期交貨及刑罰:以防遲到的傳遞,需方有權取消這個合同,拒絕接受貨物和向賣方提出索賠。除不可抗力,如果遲期交貨時,賣方必須支付違約金,買方有權向賣方提出索賠。罰金是0.5%,每7天,天數不到7天應安7天算 由銀行付款銀行或由買方的貨款中扣除。
FORCE MAJEURE: The Seller shall not held responsible if they, owing to Force Majeure cause or causes, fail to make delivery within the time stipulated in the Contract or cannot deliver he goods. However, in such a case, the Seller shall inform the Buyer immediately by cable and if it is requested by the Buyer, the Seller shall also deliver to the Buyer by registered letter, a certificate attesting the existence of such a cause or causes.
不可抗力:賣方不負責,但賣方必須立即以傳真或原因,不可抗力原因,未能交貨時間內應收的合同或不能救他的貨物。然而,在這種情況下,賣方應立即以電報通知買方。如果是按照買主的要求,賣方應負責向買方把掛號信,證書,證明這樣的原因還是存在的原因。
ARBITRATION: All disputes in connection with this contract or the execution thereof shall be settled amicably by negotiation. In case no settlement can be reached, the case shall then be submitted to the China International Economic Trade Arbitration Commission for settlement by arbitration in arbitration in accordance with the Commission’s arbitration rules. The award rendered by me commission shall be final and binding on both parties. The fees for arbitration shall be borne by the losing
party unless otherwise awarded.

Upon expiry of this lease， Party A has the right to take back the entire Premises ， and Party B shall return the Premises on or prior to the date of expiry in the same condition as it is delivered or the other condition the parties agree to Party B by Party A .
4.3 租期屆滿，乙方如要求續租，應在本合同期限屆滿前兩個月提出書面申請，取得甲方同意后，甲、乙雙方須另行簽署租賃協議。
If Party B wishes to renew the lease， party B shall submit a written application to Party A two months prior to the expiry of this lease， and a lease agreement shall be concluded between the parties separately subject to Party A‘s consent.
五、 免租期(含裝修期)
Grace Period (including the decoration period )

Telephone Service：
電話號碼由乙方自行申請，電話費按電信局的收費標準， 每月按實際通話次數/時間結算，乙方按單繳付。
The telephone number shall be applied by Party B and the call charge shall be paid in accordance with the rate of the telecommunication authority. Party B shall pay the call charge actually incurred each month.
6.3其它費用：
Other charges：
在租賃期內，乙方承租單元所用的電由大廈的物業管理機構每月按實際耗用量結算，乙方按單繳付。免租期內承租單元所用的電費由乙方支付。
During the lease term， the electricity consumed in the Premises shall be paid by Party B to the Management Department in accordance with the actual consumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premises during the Grace Period
七、支付方式：
Payment：
7.1 租金應按 預付，免租期屆滿后，乙方于應付款月的第【 】號前向甲方支付下期租金。
The rent shall be paid on basis. After expiration of the Grace Period， Party B shall pay for the rent before the【 】 day of the current .
7.2 其他各項費用：(包括但不限于)水費、電費由乙方按大廈物業管理機構每月提供的交費通知單按時交付。
Miscellaneous charges： Party B shall pay for the water and electricity on time to the Management Department according to the bills issued by the Management Department each month.

九、保證金：
Deposit：

9.2本合同期滿，如本合同不續租，甲方應在期滿后三十(30)天內返還保證金(不計利息)如乙方因違約而導致違約金、賠償金、費用和/或乙方尚未支付任何應付款項，甲方可從保證金中扣除此類違約金、賠償金、費用和/或未付款項。
Upon expiration of the Lease Agreement， if the Lease Agreement is not to be renewed， Party A shall refund the deposit without interest to Party B within thirty (30) days after the expiration of this Lease Agreement. If there is any default penalty or compensation or expenses incurred due to the breach of Party B and/or any due amount that Party B fails to pay， Party A may deduct such default penalty or compensation or expenses or due amount from the deposit.
9.3在本合同期限內，如有任何應由乙方支付的違約金、賠償金、費用和/或其他應付款項，甲方可直接從保證金中予以扣除，乙方應在接到甲方書面通知后五(5)天內補足該部分保證金。
During the lease term， if there is any default penalty， compensation or expense and/or any other due amount that shall be paid by Party B， Party A may deduct such amount from the deposit and Party B shall， within five (5) days after Party A so notifies.
十、大廈及承租區域的交付狀態：
The state of the Premises when delivery ：
甲方按現狀交樓，具備辦公條件。
Party A will deliver the Premises at as-it-is basis， which satisfies the conditions as office.
十一、甲方的權利義務：
Party A‘S RIGHTS AND RESPONSIBILITES：
11.1甲方在本租賃合同規定的期限內將房屋交付乙方。
Party A shall deliver the Premises to Party B within the term specified herein.
11.2甲方保證是房屋的合法權利人，有充分的權利出租房屋。
Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.
11.3甲方的權利保留Party A may reserve the following rights.
11.3.1 使用公共設施;to use the public facilities;
11.3.2 進入房屋內對公共設施進行檢查和維修。甲方行使該項權利時，應提前通知乙方，緊急情況除外。
to enter into the Premises for check and maintenance provided that Party A shall inform Party B in advance except under emergency.
11.3.3 在發出通知后(緊急情況除外)，有權暫停大廈設施進行維修和維護，可能導致水電的中斷。甲方無需為此承擔責任。
To repair and maintain the facilities of the building which may result in the suspension of water and electricity， upon a notice (except under emergency) without any liability thereof.
11.4 甲方應協助提供乙方提供辦理工商營業執照所需相關證明文件。
Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.
11.5甲方在承租期內促使物業管理機構提供水、電、空調、供暖及日常房屋維修。
Party A shall procure the Management Department to provide water， electricity， air conditioning， heating and daily maintenance during the lease period.
11.6 如在租賃期屆滿前兩個月，乙方未提出續租請求，或者雖然提出續租請求，但雙方在三十天內未就續租合同條款達成一致，甲方有權在工作時間帶領其他租戶進入房屋查看。
If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement， or if Party B submits such application but the parties fail to reach agreement on the renewal， Party A shall have the right to enter the Premises with other tenant at work hours to review.
十二、乙方的權利和義務
Party B‘S RIGHTS AND RESPONSIBILITES：
12.1 自行負責房屋的裝修和設施。
Party B shall be responsible for the decoration and facilities of the Premises.
除非經消防局及甲方同意，乙方不得對房屋的主要結構及裝置(包括噴淋頭)作任何變動、拆除或調整。如乙方擅自做任何變動，應負責將其恢復原狀并承擔一切費用和相關責任。
Party B shall not alter， change， dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration， dismantle or adjustment as aforesaid， it shall be responsible for restoration and bear all expenses and related liabilities.
12.2乙方應根據本合同第六、七、八條的規定按時繳納租金及各項相關費用。
Party B shall pay the rent and other fees pursuant to Clauses 6， 7， and 8 on time.
12.3乙方應按本合同的規定合理使用房屋，并保持房屋的清潔。
Party B shall reasonably use the Premises as provided hereunder and keep it clean.
12.4未得到甲方及大廈管理機構的事先同意，乙方不得在窗外、外墻、
公共走廊墻面、電梯間及其它共用區域懸掛、張貼、附置或以其它方式放置任何廣告、標識、招貼或其它資料。
Party B shall not hang， affix， or display any advertisement， signboard， poster or any other materials on outside window， outside wall， public aisle wall， elevator or other public area without the prior consents of Party A and Management Department.
12.5 乙方在承租期內不得將全部或部分房屋轉租、分租或借予第三方。
During the lease term ， Party B shall not sub-let or assign the lease to any third party.
12.6 乙方在其經營活動中，不得宣稱或令顧客誤認為其與甲方關系屬合作、合營、合伙、聯營或關聯企業關系。
Party B shall not represent or otherwise mislead the customers that it has any cooperation， joint operation， partnership or affiliation relation with Party A during its operation.
12.7乙方應自行獲取依據法律法規和政府有關部門規定應具備的所有許可、批準和證照，保證其營業活動的合法性。
Party B shall be responsible for obtaining all approvals， consents and licenses required by laws to ensure that its operation is legal.
12.8乙方應自行承擔由于乙方工商注冊、稅務登記、遷址等行為所產生的稅、費。
Party B shall be responsible for any and all taxes， fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.
12.9對于第三方因乙方對其造成或在房屋內發生的人身傷害或經濟損失而提出的索賠，乙方應自行負責并保證甲方免于此類索賠。如甲方因此類索賠而遭受損失，乙方保證進行賠償。
Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.
12.10乙方不得在房屋內放置易燃、易爆的'物品其他危險物品。
Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.
12.11乙方應嚴格遵守甲方和/或大廈物業管理機構制定并不時修改的大廈所有管理規定。
Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.
12.12 乙方不得在房屋內從事任何違法活動。
Party B shall not carry out any illegal activity in the Premises.
12.13乙方不得將房屋用于除辦公以外的用途。
Party B shall not use the Premises for any purpose other than as office.
12.14若乙方以租賃房屋作為其公司注冊地址時，乙方應在租賃合同終止后15日內辦理地址注銷登記手續，乙方逾期辦理的，應每日按月租金千分之三的標準向甲方支付滯納金，造成甲方損失的，應予以賠償。
If the Premises is used as company‘s registered address of Party B， Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time ， it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.
十三、違約責任與合同終止
BREACH AND TERMINATION
13.1違約
任何一方違反合同給另一方造成損失的，應當進行賠償。
If a party is in breach of this Lease Agreement， it shall compensate the other party for any losses cause by its breach.
13.2在下列任何情況下，本合同終止
This Lease Agreement will be terminated under any of the following conditions：
13.2.1租賃期限屆滿：
The expiration of this Lease Agreement
13.2.2 當一方違反本合同中任何規定，并且另一方書面通知要求其予以糾正的三十(30)日內未能糾正違約行為或者如果該違約是無法糾正的，守約方有權立即終止本合同。
by one of the Parties， with immediate effect， when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;
13.2.3甲方可以提前六十(60)天的書面通知提前終止本合同，但應雙倍返還乙方保證金。
Party A may terminate this Lease Agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.
13.2.4如乙方延期支付租金和/或其他各項款項超過十(10)日，甲方有權解除合同，保證金不予退還。乙方除應支付延期款項外，還應支付逾期付款違約金，數額延期支付金額的0.5%/日，直至乙方全額付清為止。
If Party B delays the payment of rent and/or other amounts for ten (10) days， Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount， in addition to pay all the overdue amounts.
13.2.5 如乙方不遵守大廈管理規定并嚴重影響其他租戶正常經營，甲方可以書面通知乙方提前終止本合同，并且保證金不予返還。
If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants， Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.
13.2.6 如乙方在房屋內從事任何違法活動或未按照辦公用途使用房屋，甲方有權立即書面通知乙方提前終止本合同，保證金不予返還。
If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office， Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.7 如乙方將房屋分租或轉租第三方，甲方有權以書面通知立即終止合同，并且保證金不返還。
If Party B sublets or assigns the lease to a third party， Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.
13.2.8 不可抗力Force Majeure
一方因不可抗力事件連續六十天(60)不能履行義務，任何一方可以書面通知終止本合同，在不可抗力的影響范圍內受影響的一方不承擔違約責任。“不可抗力”包括自然災害、爆炸、飛行物體墜落、政府行為(但專門針對受影響一方的行政行為除外)等受影響的一方不能預見、不能控制并且不可避免的事件。雙方在此明確但商業性風險不應作為不可抗力。受影響的一方應在不可抗力事件發生后的五(5)日內書面通知對方，并且應附有有權機構出具的不可抗力發生的證明。
Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee， control and avoid as natural disaster， explosive， falling of flying objects， government action (except those specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.
13.2.9一方進入破產、清算、解散或任何類似程序，另一方可以終止本合同，但以善意管理費用或合并為目的的除外。
One party may terminate this Lease Agreement if the other party launches the bankruptcy， liquidation， winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.
13. 3 合同終止的后果 The result of the termination
13.3.1 如本合同屆滿并且未由乙方續租，乙方須于屆滿之日的17點之前騰空房屋;如本合同因任何原因提前終止，乙方應于終止日后的三日內騰空房屋。如乙方未能在此期間騰空房屋，由乙方應按日支付房租，逾期十日以上(包括十日)，乙方應按雙倍房租支付。如因此給甲方造成經濟損失(包括因未能向下一租戶及時交付房屋而導致的違約金和租金收入)，還應賠償損失。
If this Lease Agreement is expired without the renewal of Party B， Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason， Party B shall vacant the Premises within three (3) days after the termination date. If Party B fails to vacant the Premises within the aforesaid period， it shall pay rent for each day of delay. If the delay is over ten (10) day (inclusive)， Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss， Party B shall compensate such loss.
13.3.2乙方還應拆除裝修和清理房屋(甲方同意保留裝修的除外)，以甲方交付之時的狀態或雙方共同認可的狀態將房屋交還甲方(正常損耗除外)歸還房屋時留在房屋內的所有設施、裝修及物品均視為乙方放棄所有權，甲方可隨意處置。如乙方未將房屋恢復原狀，甲方可自行恢復原狀，乙方需支付全部費用，可由甲方從保證金中扣除。
Party B shall also dismantle the decoration (Except for the decoration that Party A agrees to retain)and clean the Premises so that the Premises will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is excepted) Party B shall be deemed waiving the title of all facilities， decoration and staff left the Premises when the Premises is returned to Party A and Party A may dispose them in any way. If Party B fails to restore the Premises to the condition of delivery， Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof， which may be deducted from the deposit by Party A.
13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規定的情況以外，甲方應將保證金返還乙方。
Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.
13.3.4 乙方應支付全部應付費用，包括房租、水電費、電話費等。
Party B shall pay in full amount all the due payment including rent， water and electricity fee and telephone call charge.
13.3.5 雙方應按下列程序進行交接房屋。
The parties shall take over the Premises in accordance with the following procedure.
十四、附則
14.1 爭議的解決 Dispute Resolution
因執行本合同或與本合同有關的一切爭議，雙方應通過友好協商解決。協商不成的，則任何一方有權將爭議提交北京仲裁委員會仲裁裁決。仲裁程序應遵照仲裁委員會的現行仲裁規則進行。仲裁期間，雙方應繼續執行本合同不涉及爭議的部分。
Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations， such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration， the Parties shall continue to perform the part of this Lease Agreement not under dispute.
14.2 合同的修改The amendment of this Lease Agreement
對本合同只可通過雙方書面修改。
This Lease Agreement may be changed only by a written instrument signed by parties.
14.3 可分性 Severability
本合同任何條款無效，不影響其他條款的效力。
The invalidity of any part of this Lease Agreement shall not affect the validity of other clauses.
14.4 文字
本合同以中文簽署。英文文本只做參考，不具有法律效力。
This Lease Agreement shall be wrote in Chinese. The English version is only for reference without legal effect.
14.5 全部協議 Entire Agreement
本合同有其附件構成雙方之間就本合同所涉事項達成的全部協議，取代雙方此前就合同事項達成的所有口頭和書面協議。
This Lease Agreement constitutes the entire contract between the Parties with respect to the subject matter of this Lease Agreement and supersedes all prior understandings between them on such subject matter.
14.6 通知 Notice
任何一方根據本合同發出的通知或其他聯系應以中文書寫并應通過專人送遞或掛號郵寄或以公認的快遞服務或以傳真(應當有發送成功的報告)發送至另一方的下述地址。通知視為有效送達的日期按以下方法予以確定：
Any notice provided for in this Lease Agreement shall be in Chinese and shall be delivered by person， or sent by prepaid registered mail or courier， or sent by facsimile with the confirmation of successful transmission by the fax machine， transmitted or addressed to the appropriate party‘s following address. The notice shall be deemed served on the following date：
14.6.1專人投遞的通知，視為于投遞之日送達;

14.6.2 以掛號郵寄的通知，視為于投郵日(郵戳日期)后第十(10)天送達;
On 10th day after stamp on the registered mail if send by Registered mail;
14.6.3快遞送達的通知，視為公認的快遞服務機構發出后第三(3)天送達;On third day after the pick up by the courier if send by courier;
14.6.4 傳真發送的能知，應視作于發送日后下一(1)個營業日送達。

14.6.5如任何一方更改以上地址，需提前三十(30) 天書面通知另一方，該更改方生效。

Service Contract服務合同
This Service Contract entered into in Tehran on the day of.
BETWEEN
NATIONAL IRANIAN OIL COMPANY a company existing under the laws of IR of Iran (hereinafter referred to as "N.I.O.C") on the one hand and CORPORATION a company incorporated in (hereinafter referred to as "Contractor"), on the other hand,N.I.O.C and Contractor herein are referred to either individually as "Party" or collectively as "Parties".
WHEREAS N.I.O.C desires to secure the cooperation and services of a qualified contractor to carry out, on its behalf and in its name, certain Exploration perations within the Contract Area specified in the Appendix A hereof.
WHEREAS CONTRACTOR has expressed its willingness to perform such Exploration Operations in the manner specified in this Service Contract, and is prepared to provide the funding for and bear the sole risk of Exploration Operations on its own account.
WHEREAS CONTRACTOR has the financial capability, and technical competence necessary for fulfilling the obligations set out hereinafter.
NOW THEREFORE, it is hereby agreed between N.I.O.C and Contractor as follows:
本服務合同由依照伊朗伊斯蘭共和國法律成立的伊朗國家石油公司（以下簡稱N.I.O.C.）與公司(以下簡稱承包商)于在伊朗德黑蘭訂立。
N.I.O.C.和承包商在下文中單獨被稱為“一方當事人”，合稱為“雙方當事人”。
鑒于N.I.O.C.愿意尋找一合格的承包商代表其利益并以其名義在本合同附件A所指定的合同區域內實施一定的勘探作業。
鑒于承包商愿意按本合同所規定的形式實施勘探作業，并準備提供資金和獨立承擔勘探作業的風險。
鑒于承包商具備履行以下所述義務所必需的資金能力和技術能力。
基于此，N.I.O.C.與承包商同意以下條款：
ARTICLE 1 DEFINITIONS第1條 定義
Unless the context otherwise requires the following definitions of certain terms hereinafter used shall apply for the purpose of this Service Contract.
除非本合同另有規定，本條所使用的術語具有以下定義。
(i) "Accepted Accounting Practices" shall mean accounting principles, practices and methods that are generally accepted and recognized in the international petroleum industry.
“通用會計慣例”系指國際石油工業公認和認可的會計準則、會計實務和會計方法。
(ii) "Affiliate" means any company or legal entity, which (i) controls either directly or indirectly Contractor, or (ii) which is controlled directly or ndirectly by Contractor, or (iii) is directly or indirectly controlled by a company or entity which directly or indirectly controls Contractor. "Control" means the right to xercise more than fifty percent (50%) of the voting rights in the appointment of the directors of such company or entity.
“關聯公司”系指任何一個具有下列條件之一的公司或法律實體：（i）直接或間接控制承包商，或（ii）被承包商直接或間接控制，或（iii）被承包商的公司或實體直接或間接控制。 “控制”系指對該公司或法律實體的董事的.任命有50%以上的表決權。
(iii) "Bank Charges" means the bank charges as defined in the Accounting Procedures “銀行費用”系指會計程序中所規定的銀行費用。
(iv) "Barrel" means a volume of forty two (42) U.S. Gallons at sixty (60) degrees Fahrenheit and at normal atmospheric pressure.
“桶”系指在 60華氏度和正常大氣壓條件下42美式加侖的容積。
(v) "Capital Costs" means all costs of Exploration Operations incurred by on tractor for carrying out the project until conclusion of Exploration Operations in accordance with the generally accepted principles commonly practiced in the
international petroleum industry which shall include any and all cost incurred by Contractor except Non-Capital Costs.
“資本成本”系指承包商依照國際石油工業界普遍采用和通行的規則實施勘探作業直至勘探作業結束，由承包商承擔的除非資本成本以外所有勘探作業成本。
(vi)"Commercial Field" means commercial field as described in Article 13 of this Service Contract.
“商業價值油田”系指本合同第13條所述的具有商業價值的油田。
(vii) "Condensate" means all liquid hydrocarbons, regardless of gravity, produced and recovered from the Contract Area as a liquid during all process necessary to reach the commercial specifications of Natural Gas.
“凝析油”： 是指從合同區生產回收的，經過處理達到商業標準的所有液態烴，無論其密度如何。
(viii) "Contract Area" means the area covered by this Service Contract, and described in Appendix A attached hereto and made a part hereof.
“合同區域”是指本合同和作為本合同不可分割部分的附件A所描述的區域。
(ix) "Contractor" means China Petrochemical Corporation, its legal successors, or any permitted assignee or assignees of any rights and obligations of Contractor. “承包商“系指中國石油化工集團公司及其合法承繼者，或任何許可的可履行合同權利和義務的受讓人。
(x) "Controllable Material" means material which, in accordance with generally Accepted Accounting Practices, Contractor elects to record, control and inventory.
A list of types of such material shall be furnished to N.I.O.C by Contractor within one month of the Effective Date.
“可控制材料”系指按照公認的會計準則，承包商所記錄、控制和庫存的材料。這些材料的分類清單應在合同生效后一個月內提交N.I.O.C.。
(xi) "Crude Oil" means all liquid hydrocarbons, regardless of gravity, including crude petroleum, produced and recovered from the Contract Area, as a liquid at atmospheric pressure fourteen and seven tenths (14. 7) pounds per square inch absolute and ambient temperature.
“原油”是指所有液態烴 ，無論密度如何，包括合同區生產和回收的，在常溫、常壓（每平方英寸十四點七磅）下的液態油。
(xii) "Cubic Meter" means one (1) cubic meter at sixty (60) degrees Fahrenheit and at normal atmospheric pressure.

(xiii) "Date of Commerciality" means the first day of the month following the date on which N.I.O.C approves that a Commercial Field has been established according to Article 23.

(xiv) "Development Service Contract" means development service contract, model form which is attached hereto as Appendix E, that will be negotiated between Contractor and N.I.O.C in case of discovery of a Commercial Field.
“開發服務合同”系指本合同附件E所列的文本，該合同將在發現有商業價值的油田，由承包商和NIOC協商。
(xv) "Effective Date" means the date on which this Service Contract, being duly signed by the Parties is approved by the respective authorities.
“生效日”系指當事人雙方正式簽訂本合同后，獲得各自權利(力)機構批準的日期。
(xvi) "Exploration Expenditure(s)" means all expenditures made and paid by
Contractor necessary to carry out the Exploration Operations covered by this Service Contract comprising Capital Costs and Non-Capital Costs, as determined in accordance with the Accounting Procedure.
“勘探費用”系指承包商為實施本合同所述勘探作業按照會計程序所發生和支付的必要費用，包括資本成本和非資本成本。
(xvii) "Exploration Operations" means all or any of the operations conducted by Contractor as authorized or envisaged under this Service Contract.
“勘探作業”系指承包商執行的本合同項下的所有作業。
(xviii) "Exploration Period" means the period of time as defined in Article 4 of this Contract.
“勘探期”指本合同第4條所規定的期間。
(xix) "Financial Year" means a Gregorian calendar year of twelve (12)
consecutive months commencing on January 1st of each year respectively. The first financial year shall commence on the Effective Date of this Service Contract and end on 31st December of the same year.
“財政年度”系指自公歷1月1日起的十二個連續公歷月。本合同的第一個財政年度應始于合同生效日止于當年的12月31日。
(xx)"Land" means any land whether submerged or not.
“土地”系指任何土地，包括被淹沒或未淹沒的土地。
(xxi) "Material and Equipment" means Property, (with the exception of Land) including without limitation all facilities, supplies and equipment, acquired and held for use in Exploration Operations by the Contractor.
“材料和設備”包括（土地除外）但不限于承包商為實施勘探作業獲得和使用的所有設施、材料和設備。
(xxii) "Natural Gas" means the gaseous affluent in its natural state including all of the liquefiable constituent thereof resulting from the production of Petroleum. “天然氣”系指在石油開采過程中生產的、自然狀態為氣態的物質及其可液化成份。

Technical Consultancy Service Contract

This Contract is made and entered into through friendly negotiation by and between China____________________ (hereinafter referred to as “Client”), as one party, and____________________ (hereinafter referred to as“Consultant”),as the other party, concerning the technical consultancy service of__________, under the following terms and conditions:
Article 1 Contents of Technical Consultancy Service
1.1 Whereas Client desires to obtain the technical consultancy service of from Consultant and Consultant has agreed to perform such services.
1.2 The Scope of Technical Services is defined in Appendix 1.
1.3 The Time Schedule for the Services is shown in Appendix 2.
1.4 The Manning Schedule is described in Appendix 3.
1.5 Consultant shall complete the Services within__________months from the Effective Date of this Contract and furnish the final technical service report, including drawings, designing documents, all kinds of standards and photos, within____months. Consultant shall keep aware, free of charge, Client of the latest development of similar projects and any progress made in order to improve the designing of the project.
Article 2 Both Parties Responsibility and Liability
2.1 Client shall furnish to Consultant the pertinent data, technical service reports, maps and information available to him and shall give to Consultant the reasonable assistance necessary for carrying out of his duties. Particularly Client shall nominate a general representative who shall be available at reasonable time.
2.2 Client shall assist Consultant with the responsible authorities for obtaining visas, work permits and other documents required by Consultant to enter the country and to have access to the Site of the Project. The above expenses shall be borne by Consultant.
2.3 Consultant shall furnish a sufficient number of competent personnel to perform its obligation hereunder, in addition to those personnel specifically listed in Appendix 3. All personnel employed by Consultant in carrying out the work shall be exclusively Consultants responsibility, and Consultant shall hold Client harmless from any claims of any kind by Consultants personnel arising out of any acts by Consultant or its personnel in connection with the work performed hereunder.
2.4 Consultant shall provide Client all the technical technical service reports and relevant documentation within the Scope of Technical Services and within the Time Schedule of the Time Schedule for the Services.
2.5 Consultant shall assist Client＇S personnel in his country in obtaining visas and in arranging lodgings. Hotel and boarding expenses shall be borne by Client. Consultant shall supply to Client＇S personnel office space and necessary facilities as well as transportation.
2.6 Consultant shall be responsible for and shall indemnify Client and his employee in respect of injury to person or damage to property occurring in connection with the services, to the extent that such damage or injury directly results from negligence of Consultants personnel while engaged in activities under this Contract.Consultant shall be liable only to the work under this Contract.
2.7 Any and all liability of Consultant with respect to this Contract shall be limited to the Total Contract Price received by Consultant for his profession services and shall terminate upon expiration of the warranty period set forth in Article 7.3.
Article 3 Price and Payment

The total contract price shall include all charges and expenses incurred by Consultant in performing his obligations both in his own country and in the Peoples Republic of China and includes the expenses incurred in sending the Technical Documentation to Clients office by all kinds of forms.
In the event of Force Majeure as defined in the Contract, the total contract price shall be readjusted through friendly negotiations between the parties. If Client requires services not contemplated in the Scope of Services the parties shall friendly discuss an amendment to the
total contract price. Any such amendment shall be in writing countersigned by both parties. This document shall then form integral part of the Contract.
3.3 All payments to be made by Client to Consultant under the present Contract shall be made by telegraphic transfer. In case of any payment by Client, the payment shall be effected through__________in China to _________ for the account of Consultant.
In consideration for the services provided by Consultant hereunder, Client shall effect the payment to Consultant in accordance with the following manner and percentage:

Claims:
Within 45 days after the arrival of the goods at the destination, should the quality, Specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable. The Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim for compensation to the Sellers.

Force Majeure:
The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.
(14）仲裁：凡有關執行合同所發生的一切爭議應通過友好協商解決，如協商不能解決，則將分歧提交中國國際貿易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。
Arbitration:
All disputes in connection with the execution of this Contract shall be settled friendly through negotiation. In case no settlement can be reached, the case then may be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Procedure promulgated by the said Arbitration Commission. The Arbitration committee shall be final and binding upon both parties. And the Arbitration fee shall be borne by the losing parties.

1. The Seller agrees to sell and the Purchaser agrees to buy for the total sum of ________dollars ($_______) under the conditions set forth in this contract all of the live standing timber marked or designated for cutting and all of the dead or down timber marked or designated upon an area of approximately _____ acres, situated in the _________ of Section ________, Twp._______ R._______, ____________ County, Illinois, on land owned and recorded in the name of _______________________.

2. The Seller further agrees to mark and dispose of the timber conveyed in this contract in strict accordance with the following conditions:

(b) No trees under _____ inches in diameter at a point 4 1/2 feet from the ground will be marked for cutting.
(c) No concurrent contract involving the area or period covered in this contract has been or will be entered into by the Seller without the written consent of the Purchaser
(d) The Purchaser and his employees shall have access to the area at all reasonable times and seasons for the purpose of carrying out the terms of this contract.

3. The Purchaser further agrees to cut and remove all of the timber conveyed in this contract in strict accordance with the following conditions:
(a) Unless an extension of time is agreed upon in writing between the Seller and Purchaser, all timber shall be paid for, cut, and removed on or before and none after the _____ day of _______, 20___, and any material not so removed shall revert to the Seller.
(b) Unmarked trees and young timber shall be protected against unnecessary injury from felling and logging operations.?If, however, unmarked trees are cut, damages shall be paid the Seller at the rate of $1 per tree per M bd. ft. for all other species, and in the event that any such trees are cut, said trees shall remain upon the premises and shall be the property of the Seller.
(c) Necessary logging roads shall be cleared by the Purchaser only after their locations have been definitely agreed upon with the Seller or his representative, and any trees to be removed in the clearing operations shall first be marked by the Seller.
(d) During the life of this contract and on the area covered, care shall be exercised by the Purchaser and his employees against the starting and spread of fire, and they shall do all in their power to prevent and control fires.
(e) Any liability for damage, destruction, or restoration of private or public improvements or personal damages occasioned by or in the exercise of this contract shall be the sole responsibility of the Purchaser, and the Purchaser shall save harmless the Seller on account of such damages.
(f) The risk if loss or damage to the trees herein purchased, from any and all causes whatever, shall be borne by purchasers from the date hereof.
(g) The Purchaser will not assign this agreement without the written consent of the Seller.

(a) All modifications of the contract will be reduced to writing, dated, signed, and witnessed and attached to this contract.
(b) Any need for reassignment of interest of either party may be changed within 10 days following written consent by both parties.?All terms of this contract legally bind the named representatives to excuse this document as written.

This Agreement shall be effective as of and shall continue tin effect through and including with automatic one-year extensions thereafter unless terminated at the option of either party,other than for cause,upon at least sixty(60)days written notice prior to the expiration of the original term or,if applicable,any subsequent anniversary date.

3.1 Subject to availability and the production policies determined by the
Government of the Kingdom of Saudi Arabia,SELLER shall deliver and sell to BUYER and BUYER shall lift or receive and buy from SELLER a total of ｛ quantity in numbers and words｝
Barrels per day of Arabian Light crude oil, minus up to ten percent(10%)if BUYER s or SEELERs option,or plus up to ten percent (10%)if BUYER so requests and SELLER agrees. Additional volumes of crude oil of similar or different grades may be delivered under this agreement as the parties may from time to time agree.
依據由沙特阿拉伯政府出臺的有效相關產品政策，賣方應該將貨物發送并賣給買家，買家也應該接受并且同意接手從賣方手里買的總數{插入數量的數字和文字}-------阿拉伯輕質原油，數量的上下幅度為總數量的10%。如果買家這樣要求并且賣家同意的話。額外大量的原油同品級的或是不同品級的將會遵從買賣雙方的意愿按照合同的要求發貨。
The availability of each grade of crude oil specified in Paragraph 3.1 will be advised by SELLER from time to time in accordance with the production policies of Government of the Kingdom of Saudi Arabia. Subject to availability, and underless otherwise mutually agreed, the quantitied of each grade of crude oil to be lifted or received and purchased by BUYER during the term of this Agreement shall be spread over the term of this Agreement as evenly as practicable.

Notwithstanding anything to the contrary contained else where in this Agreement and without prejudice to any other rights or remedies available to SELLER hereunder if at any time BUYER,for at any reason other than force majeure(as defined in Paragraph 11.6)or a reason attributable to SELLER, fails
to lift or receive and purchase quantities of crude oil in accordance with this Paragraph 3, SELLER may at one time or from time to time thereafter, at its sole discretion, and upon notice to BUYER, reduce any or all quantities and grades of crude oil which BUYER would have otherwise been entitled to lift and buy.

The quality of each grade of crude oil delivered hereunder shall be the usual quality of that grade being made available by SELLER at the time of loading of the crude oil at the SELLERs loading port in Saudi Arabia. SELLER warrants that it has good and marketable title to the crude oil, free and clear of all charges, liens and encumbrances but THERE ARE NO GUARANTEES OR WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS OR SUITABILITY OF THE CRUDE OIL, FOR ANY PARTICULAR PURPOSE OR OTHERWISE, WHICH EXTEND BEYOND THE DESCRIPTION OF THE CRUDE OIL AND ANY SPECIFICATIONS THEREFOR CONTAINED IN THIS AGREEMENT.

Price:
4.1 The price per barrel of each grade of crude oil to be sold hereunder shall be the average of the means of Oman and Dubai crude oil quotations (as
published in Platts Crude Oil Marketwire under the heading "Spot Assessment") for the entiremonth in which the Bill of Lading date falls, plus or minus a differential for each grade to be provided by SELLER to BUYER as per Paragraph 4.2.

On or before the fifth (5th) day of each month, SELLER shall notify BUYER of the differential to be used to determine the price per barrel of each grade of crude oil for sale under this Agreement during the following month ("Scheduled Month of Delivery"). Within five (5) calendar days after receipt of SELLERs notification as set forth in the preceding sentence, BUYER may elect to terminate this Agreement by delivering written notice thereof to SELLER. Unless BUYER elects to terminate this Agreement in accordance with the immediately preceding sentence, the price differential notified by SELLER shall apply. Termination by BUYER in accordance with this Paragraph 4.2 shall be effective as of the first day of the month following SELLERs receipt of BUYERs notice; provided, however, that termination under this or any other provision of this Agreement shall not affect the parties rights and obligations with respect to deliveries of crude oil under this Agreement which were made prior to the effective date of termination; and further provided that in the event of termination hereunder or expiration of the Agreement, this Agreement shall remain in effect with respect to all crude oil for which delivery has been confirmed pursuant to Paragraph 6. The differential applicable to such crude oil shall be the differential which was in effect during the month prior to termination.

If delivery is at Yanbu, BUYER shall pay, in addition to the price calculated in accordance with Paragraph 4.1, the East-West Pipeline transit fee, currently U.S. $0.25 (twenty-five U.S. cents) per barrel.

Should issuance of the Bill of Lading occur before or after the Scheduled Month of Delivery, the price of such cargo shall be calculated using the differential that would have applied had issuance of the Bill of Lading occurred in the Scheduled Month of Delivery; however, the Oman and Dubai Prices shall be calculated with reference to the Bill of Lading date, as set forth in Paragraph 4.1.
