　　一份標(biāo)準(zhǔn)英文合同通常可以分為前言（Preamble）、正文（Operative part）、附錄（Schedule）及證明部分即結(jié)束詞（Attestation）四大部分組成。

　　前言（Preamble）由“Parties”及“Recitals”兩部分組成。

　　“Parties”為必備條款，在很多時(shí)候稱為“commencement”即合同的開場白，主要介紹合同各方的名稱或姓名、注冊(cè)地及地址、郵編及在合同中的簡稱。當(dāng)然，并不是所有的合同都要詳細(xì)介紹以上諸要素，在許多簡單合同中，只是提一下各方的名稱。

　　I. 以下為“Parties”的常用表達(dá)方式：

　　4. 不可抗力 Force Majeure

　　Force Majeure條款是一種免責(zé)條款，即免除由于不可抗力事件而違約的一方的違約責(zé)任。一般應(yīng)規(guī)定的內(nèi)容包括：不可抗力事件的定義（Definition of Force Majeure）以及不可抗力事件的后果（Consequences of Force Majeure） 。在Force Majeure條款中，兩者屬于因果關(guān)系，難以截然分開。

　　I. 對(duì)于Force Majeure的定義，《合同法》定義如下：

　　本法所稱不可抗力，是指不能預(yù)見、不能避免并不能克服的客觀情況。

　　For purposes of this Law, force majeure means any objective circumstance, which is unforeseeable, unavoidable and insurmountable.

　　II. 以下是Force Majeure條款的舉例：

　　1. Neither party shall be responsible for delays or failures in performance resulting from acts or facts reasonably beyond the control of that party.

　　任何一方不應(yīng)對(duì)因其無法控制之行為或事實(shí)造成協(xié)議延遲履行或不履行承擔(dān)任何責(zé)任。

　　2. Either Party shall not be liable for any delay caused by any unpredictable factor or any factor which is unavoidable or insurmountable by reasonable means at the time of conclusion of this Agreement, or any loss caused by failure in fulfillment of obligations as stipulated herein.

　　協(xié)議任一方無須對(duì)因任何在本協(xié)議簽訂時(shí)無法預(yù)見或以合理手段也無法避免或克服之原因造成的遲延或不履行本協(xié)議之義務(wù)所造成的損失承擔(dān)責(zé)任。

　　注：以上采用的是類似《合同法》概括的定義方法。而合同為不可抗力定義時(shí)更多地采用列舉的方法。

　　3. Neither party of this Agreement, directly or indirectly owing to any causes or circumstances beyond its control, including Acts of God, Governmental orders or restriction, war, warlike conditions, revolutions, strike, lockout, fire and flood.

　　本合同任何一方當(dāng)事人對(duì)直接或間接地由于其無法控制的原因或情況包括自然災(zāi)害、政府命令或限制、戰(zhàn)爭、戰(zhàn)爭狀態(tài)、革命、罷工、工廠被關(guān)閉、火災(zāi)、水災(zāi)等而未能履行或延遲履行合同或合同一部分的行為，不負(fù)任何責(zé)任。

　　注: Acts of God通常也譯為“不可抗力”，但主要是指自然災(zāi)害；而Force Majeure則包括自然及人為兩方面。

　　4. Neither party will be liable for nondelivery, misdelivery or late delivery (other than the payment of money due hereunder) caused by circumstances beyond its reasonable control, including, among others, war, civil strife or commotion, riots, strikes, fires, floods, acts of God, inability to obtain materials, failure of carriers or compliance with any law, regulation or governmental order.

　　5. Should either of the parties to the contract by prevented from executing the contract by force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events, and their happening and consequences are unpreventable and unavoidable, the prevented party shall notify the other party by cable without any delay, and within 15 days thereafter provide the detailed information of the events and a valid document for evidence issued by the relevant public notary organization

　　for explaining the reason of its inability to execute or delay the execution of all or part of the contract. Both parties shall, through consolations, decide whether to terminate the contract or to exempt the part of obligations for implementation of the contract or whether to delay the execution of the contract according to the effects of the events on the performance of the contract.

　　6. Force majeure shall hereof consist of the following events:

　　Where such cases as war, earthquake, serious windstorms, snow, or fire or other events which no party can foresee and prevent from happening occur;

　　發(fā)生戰(zhàn)爭、地震、嚴(yán)重的風(fēng)災(zāi)、雪災(zāi)、火災(zāi)或其他各方無法預(yù)見、無法抗拒的事故。

　　The related laws and regulations in collection with the execution of duties by any party to this Agreement undergo changes, under which this Agreement will be illegal or the transfer cannot be fulfilled.

　　自本協(xié)議簽訂之日起與本協(xié)議任何一方履行本協(xié)議相關(guān)的法律、法規(guī)發(fā)生變更致使本協(xié)議非法或轉(zhuǎn)讓行為無法完成。

　　In event of the occurrence of the above-mentioned events, if any party (hereinafter referred to as the “Effected Party ”) has been delayed or deterred from performing the duties of this Agreement in the course of its execution, the Affected Party shall be free from any liabilities for breach of the agreement and for compensation.

　　7. Force Majeure不可抗力

　　(1) No party to this Contract shall be liable to the other party for any failure of or delay in performance of its obligations hereof nor be deemed to be in breach of this Contract, if such failure or delay has arisen from "force majeure."

　　如果任何一方因不可抗力而款能履行或推遲履行其義務(wù)，則不對(duì)另一方負(fù)責(zé)，也不應(yīng)視作違反合同。

　　"Force Majeure" means circumstances and conditions beyond the control of either parties, that would render it impossible for either the Owner or the Contractor to fulfill their obligations under this Contract, or delay such fulfillment. Any of the following matters are considered "force majeure."

　　“不可抗力”指業(yè)主或承包商無法控制的'情況，使當(dāng)事人未能按本合同履行其義務(wù)，或者不得不延遲履行其義務(wù)。下列情況均被視作“不可抗力”：

　　a. war, hostilities, act of foreign enemy, invasion, warlike opera-tions (whether war to be declared or not) or civil war;

　　b. mutiny, civil commotion assuming the proportions of or amounting to a popular rising, military rising, insurrection, rebellion, revolution, military or usurped power, or any act of any person acting on behalf of or in connection with any organization with activities directed towards the overthrow by force of the Government de jure or de facto, or to the influencing of it by terrorism or violence;

　　c. earthquake, flood, fire or other natural physical disaster;

　　d. denial of the use of all ports, airports, shipping services or other means of public transport;

　　e. strike or lock out or other industrial concerted action by workers, affecting the fulfillment of Contractors and subcontractors obligations;

　　f. and other unforeseen circumstances beyond the control of the parties so affected rendering the fulfillment of their obligations impossible.

　　a. 戰(zhàn)爭、敵對(duì)事件、外敵行動(dòng)、入侵、類似戰(zhàn)爭的軍事行動(dòng)（不管是事宣戰(zhàn)）、內(nèi)戰(zhàn)；

　　b. 士兵嘩變、民眾*亂、軍事叛亂、起義、造反、革命、篡權(quán)、或者任何個(gè)人代表某個(gè)組織或與某個(gè)組織有聯(lián)系、旨在以暴力推翻合法或現(xiàn)存政府、或以恐怖主義或暴力對(duì)政府施加影響的行為；

　　c. 地震、洪水、火災(zāi)或其他自然災(zāi)害；

　　d. 所有港口、機(jī)場、船運(yùn)或其他公共交通工具的使用均遭拒絕；

　　e. 工人罷工、工廠停工、或其他的勞工聯(lián)合行動(dòng)，影響了承包商和分包商履行其義務(wù)；

　　f. 當(dāng)事人無法控制、從而使其不能履行義務(wù)的其他任何意外情況。

　　(3) If either party to this Contract is prevented or delayed from or in performing any of his obligations under this Contract by force majeure, then he may notify the other party of the circumstances constituting the force majeure and of the obligation performance of which is thereby delayed or prevented and the party giving the notice shall thereupon be excused from the performance or punctual performance, as the case may be, of such obligation for so long as the circumstances of prevention or delay may continue.

　　如果本合同任何一方因不可抗力不能或延遲履行本合同規(guī)定的任何義務(wù)，他可將不可抗力和由此造成的延遲或妨礙情況通知另一方。發(fā)出通知的一方允許根據(jù)具體情況及妨礙或延遲持續(xù)的時(shí)間免于履行或推遲履行合同。

　　(4) If by virtue of the preceding sub-clause dither party shall be excused from the performance or punctual performance of any obligation for a continuous period of ________ months, then either party may at any time thereafter terminate this Contract by giving a written notice to the other party.

　　根據(jù)本第款第3分條規(guī)定，如果任何一方免于履行或推遲履行其義務(wù)的時(shí)間持續(xù)了____個(gè)月，那么任何一方都可隨時(shí)向另一方發(fā)出書面通知，終止本合同。

　　5. 修改 Modification

　　合同修訂 (Modification)條款為合同常用條款.主要規(guī)定了合同修訂的方式與途徑。例如：書面合同，只能以書面方式進(jìn)行修訂，口頭修訂內(nèi)容無效。

　　I. Modification條款通常較為簡單，以下為一些常用比較簡約的表達(dá)方式：

　　1. The contract can be amended only after the amendment is agreed upon by both parties.

　　只有經(jīng)雙方一致同意，合同方可變更。

　　2. This Agreement may be amended only by a written instrument signed by duly authorized representatives of both parties.

　　本合同只有經(jīng)雙方當(dāng)事人授權(quán)的代表正式簽署的書面文件，方可修改。

　　3. This Agreement may not be amended or modified except by written instrument signed

　　by each of the Parties hereto.

　　除非經(jīng)本協(xié)議當(dāng)事人簽署的書面通知，否則本協(xié)議書不得作出任何修改和變更。

　　4. Any alterations or amendments of this Agreement shall be subject to agreement through consultation between both parties in writing.

　　本協(xié)議的任何變更或修改，應(yīng)由本協(xié)議雙方協(xié)商一致，并以書面方式進(jìn)行。

　　5. This Agreement shall not be modified or amended except by a written instrument, signed by the parties hereto.

　　除非雙方當(dāng)事人共同簽署書面文件，否則本“協(xié)議”不得修改或修訂。

　　6. Any modification, amendment or waiver of any of the provisions of this Agreement must otherwise be made in writing and duly signed by the parties hereto.

　　對(duì)本“協(xié)議”任何規(guī)定的任何變更、修改或免責(zé)必須另以書面形式作出，并經(jīng)各方正式簽字。

　　7. During the period of validity of the agreement, either party shall be entitled to make proposal of amendment to the agreement and the agreement amended shall go into effect with the signature of the two parties.

　　在協(xié)議的有效期內(nèi)，任何一方都有權(quán)提出對(duì)協(xié)議進(jìn)行修改，修改后的協(xié)議經(jīng)過雙方簽署后才能夠生效。

　　II. 在實(shí)際運(yùn)用中，由于內(nèi)容環(huán)境不同，表達(dá)可能有所不同，以下為一些實(shí)例：

　　1. If the loan contract affiliated to this Contract has to be abridged, amended, or revised, both parties shall negotiate to amend and revise this Contract in line with the provisions of the loan contract.

　　本股權(quán)質(zhì)押項(xiàng)下的貸款合同如有修改、補(bǔ)充而影響本質(zhì)押合同時(shí)，雙方應(yīng)協(xié)商修改、補(bǔ)充本質(zhì)押合同，使其與股權(quán)質(zhì)押項(xiàng)下貸款合同規(guī)定相一致。

　　2. If this Contract shall be abridged, revised, or amended on account of force majeure, the responsibilities assumed by the Party A under this Contract shall not be exempted or reduced, and the rights and interests of the Party B under this Contract shall not been affected or infringed.

　　如因不可抗力原因致本合同須作一定刪節(jié)、修改、補(bǔ)充時(shí)，應(yīng)不免除或減少甲方在本合同中所承擔(dān)的責(zé)任，不影響或侵犯乙方在本合同項(xiàng)下的權(quán)益。

　　3. The amendment of the contract or other appendices shall come into force only after the written agreement signed by Party A and Party B and approved by the original examination and approval authority.

　　對(duì)本合同及其附件的修改必須經(jīng)甲、乙雙方簽署書面協(xié)議，并報(bào)原審批機(jī)構(gòu)批準(zhǔn)，方可生效。

　　4. This Agreement may be amended in writing signed by both Parties. Unless otherwise expressly agreed to in such amendment, all terms and conditions of this Agreement shall apply to any such addition and all rights granted to Licensee under this Agreement shall terminate as to any such deletion.

　　本協(xié)議可由「雙方」書面簽署予以修改。除在此種修改中另行明確同意外，本協(xié)議所有的條款和條件須適用于任何此類修改中所做的添加，而所有根據(jù)本協(xié)議而給予「被許可人」的權(quán)利對(duì)于任何此類修改中的刪除事項(xiàng)而言將終止。

　　6. 補(bǔ)償 Indemnification

　　損害賠償（indemnification）條款，是減少合同風(fēng)險(xiǎn)的一個(gè)重要條款。該條款主要約定在第三者對(duì)合同提出權(quán)利主張時(shí)，另一締約方應(yīng)當(dāng)對(duì)此承擔(dān)責(zé)任。通常情況下，另一締約方必須支付全部的防御性訴訟費(fèi)用，以及全部的支付給第三者的和解費(fèi)用或者第三者勝訴后造成的所有損失。

　　實(shí)際上，本條款是將第三人造成的風(fēng)險(xiǎn)從合同的一方當(dāng)事人轉(zhuǎn)移給另一方當(dāng)事人。

　　其次，本條款也可以約定合同的另一締約方有其他不當(dāng)?shù)淖鳛闀r(shí)，應(yīng)當(dāng)進(jìn)行損害賠償。

　　I． Indemnification 條款常用“indemnify and hold harmless from……”來表達(dá)：

　　1. Party A agrees to indemnify and hold Party B harmless from any claim or demand, including reasonable attorneys fees, made by any third party due to or arising out of

　　甲方同意對(duì)乙方因_____造成的損失作出賠償及保證乙方不招致任何第三方索償或索求，包括合理的律師費(fèi)用。

　　應(yīng)用實(shí)例：

　　Party A agrees to indemnify and hold Party B harmless from any claim or demand, including reasonable attorneys fees, made by any third party due to or arising out of Party As use of the Site, the violation of this Agreement by Party A, or the infringement by Party A, or other user of the Site using Party As login name and password, of any intellectual property or other right of any person or entity.

　　甲方同意對(duì)乙方因甲方使用網(wǎng)站、或甲方違反本協(xié)議、或因甲方或其它使用甲方之登記名稱及密碼而使用網(wǎng)站的使用者，侵犯任何知識(shí)產(chǎn)權(quán)或任何其它人士或單位的其它權(quán)利所造成的損失作出賠償及保證乙方不招致任何索償或索求，包括合理的律師費(fèi)用。

　　2. Party A shall indemnify and hold party B and each of party B officers, directors, stockholders, employees and agents harmless against, and in respect of, any damage, loss, liability, cost or expense, including attorneys, fees, resulting or arising from or incurred in connection with this Agreement and the transactions contemplated hereby, except such as may result from willful malfeasance if party B or such officer, director, stockholder, employee of agent, as the case may be.

　　甲方應(yīng)當(dāng)賠償乙方及其每個(gè)職員、董事、股東、雇員及其代理人因此協(xié)議引起或與此協(xié)議以后的交易相關(guān)事項(xiàng)而產(chǎn)生的損害、損失、責(zé)任、開支或費(fèi)用，包括律師費(fèi)用，但因乙方或其職員、董事、股東、雇員或代理人有意的過失而引起的損失除外。

　　3. Each party will defend, indemnify and hold the other harmless from and against all actions, proceedings, claims, demands, suits, losses, damages and expenses, including reasonable attorneys fees and costs reasonably incurred in defending any proceedings in which the damages sustained arose from a failure of the other party to meet its obligations under this agreement. In no event will either party be liable to the other in connection with this agreement for special, incidental, indirect or consequential or punitive damages regardless of whether either or both parties knew of the possibility of such damages.

　　一方當(dāng)事人將使另一方當(dāng)事人免于承擔(dān)訴訟、索賠、請(qǐng)求、損害賠償金及費(fèi)用，包括為以下訴訟辯護(hù)而發(fā)生的合理的律師費(fèi)：因另一方當(dāng)事人未根據(jù)本協(xié)議履行其義務(wù)而導(dǎo)致?lián)p害賠償?shù)脑V訟。

　　不管一方當(dāng)事人或雙方當(dāng)事人是否知道特殊損害賠償、附帶損害賠償、間接損害賠償、后果性損害賠償、懲罰性損害賠償發(fā)生的可能性，一方當(dāng)事人均不會(huì)為另一方當(dāng)事人承擔(dān)上述損害賠償。

　　4. Contractor agrees to protect, defend, indemnify and hold harmless company, its parent, subsidiaries and affiliated companies, and its and their employees, subcontractors and its and their insurers from and against any claim, demand, cause of action, loss, expense award, obligation to indemnify another, judgment or liability on account of illness, injury or death to the employees of contractor and contractor’s subcontractors and/or damage to or loss or destruction of the property of contractor arising directly or indirectly out of the performance of this contract regardless of omissions or negligence, in whole or in any part, of company.

　　承包商同意保護(hù)、辯護(hù)、賠償和保證公司、其上級(jí)公司、下屬公司和關(guān)聯(lián)公司、及其雇員、次承包商和其保險(xiǎn)公司不承擔(dān)在履行本合同過程中，不論公司是否存在部分 或全部的不作為或疏忽的責(zé)任，直接或間接所導(dǎo)致的承包商和次承包商的雇員生病、受傷或死亡以及承包商的財(cái)產(chǎn)所遭受的毀損滅失相關(guān)的任何訴求、要求、訴因、 損失、費(fèi)用、對(duì)他方的賠償義務(wù)、判決或賠償責(zé)任。

　　II． Indemnification 條款還有多種表達(dá)方式，但并不固定。

　　1. Notwithstanding any of indemnities and liabilities specifically referred to above, neither company or contractor shall be liable to the other with respect to any consequential loss including, but not limited to, loss of anticipated profit, loss of anticipated revenue, loss of anticipated production, loss of product, or loss of use of money, arising or alleged to arise out of either company’s or contractor’s failure to property carry out its obligations hereunder or due to omissions or negligence, in whole or any part, of the part at fault, its subcontractors or vendors or the un-seaworthiness of vessel, or strict liability, and regardless of whether pre-existing the execution of the agreement.

　　除上列特別述及的賠償和責(zé)任外，公司或承包商相互間不承擔(dān)任何間接損失，包括但不限于預(yù)計(jì)的利潤損失、預(yù)計(jì)的收益損失、預(yù)計(jì)的生產(chǎn)損失、產(chǎn)品損失、無法使用金錢的損失，由于或認(rèn)為系因公司或承包商未能正確地履行本合同的義務(wù)或由于該違約系由于其次承包商或供應(yīng)商(買方)或船舶不適航或嚴(yán)格責(zé)任和不論是否存在依以前協(xié)議履行原因，所導(dǎo)致的部分或全部的不作為或疏忽所造成的損失。

　　2. All remedies specified herein or otherwise available shall be cumulative and in addition to any and every other remedy provided hereunder or now or hereafter available at law or in equity. No waiver or failure to act with respect to any breach or default hereunder, whether or not the other party has notice thereof, shall be deemed to be a waiver with respect to any subsequent breach or default, whether of similar or different nature.

　　依據(jù)法律或衡平法，本“協(xié)議”所述的賠償或其它可得的賠償應(yīng)當(dāng)是累積的，并在本“協(xié)議”中規(guī)定的賠償之外，或在現(xiàn)在或此后可得的賠償之外。無論對(duì)方當(dāng)事人通知與否，任何與違反協(xié)議或不履行協(xié)議有關(guān)的棄權(quán)不得視為與任何后來的違反協(xié)議或不履行協(xié)議有關(guān)的棄權(quán)，無論是否性質(zhì)相同或不同。

　　III．在大型合同中，Indemnification 條款往往非常復(fù)雜，以下即為。

　　Indemnification 補(bǔ)償

　　(a) Each party shall indemnify and hold harmless the other party, its shareholders, directors, officers, employees, agents, designees and assignees, or any of them, from and against all losses, damages, liabilities, expenses, costs, claims, suits, demands, actions, causes of actions, proceedings, judgments, assessments, deficiencies and charges (collectively, "Damages") caused by, relating to or arising from the performance by such party in accordance with this Contract of its obligations hereunder, and Buyer shall also indemnify Seller, without limiting the foregoing, for any such item caused by, relating to or arising from (a) the programming services which are authorized for viewing sing the System, including any assertion that any such programming service involves copyright infringement, (b) any disputes between Buyer and any of its program distributors or other distributors or affiliates, (c) any disputes or claims involving the subscribers for Buyers programming services, or (d) any assertion that Buyer has been involved in, that Buyers conduct of subscription involves, or that Buyers use of the System involves, any unfair competition or violations of laws, rules or regulations.

　　(ａ)每方應(yīng)就其按本合同規(guī)定履行其本合同項(xiàng)下義務(wù)所導(dǎo)致的、與其有關(guān)的或由其引發(fā)的一切損失、損害、責(zé)任、支出、費(fèi)用、索賠、訴訟、要求、訴訟行為、訴因、程序、判決、估定稅額、欠額以及收費(fèi)(合稱“損害”)補(bǔ)償另一方、另一方的股東、董事、管理人員、雇員、代理、被指定人、受讓人或其中任何一人，使之不受損害，并且在不對(duì)上文所述予以限制的條件下，買方還應(yīng)就下述各項(xiàng)所導(dǎo)致的、與其有關(guān)的或由其引發(fā)的上述任何事項(xiàng)補(bǔ)償賣方：

　　(a)授權(quán)對(duì)viewing sing系統(tǒng)提供的服務(wù)；（b）買方與項(xiàng)目分包商、分支機(jī)構(gòu)之間的糾紛；(c) 任何用戶針對(duì)買方的該項(xiàng)目服務(wù)的糾紛或索賠；(d) 針對(duì)買方所涉該系統(tǒng)的不正當(dāng)競爭或違法指控。

　　(b) In the event of a third-party claim, with respect to which a party’s entitled to indemnification hereunder, a party (the "Indemnified Party") shall notify the other party (the "Indemnifying Party") in writing s soon as practicable, but in no event later than ______ days after receipt of such claims. The Indemnified Partys failure to provide such noticed shall not preclude it from seeking indemnification hereunder unless such failure has materially prejudiced the Indemnifying Partys ability to defend such claim. The Indemnifying Party shall promptly defend such claim with counsel of its own choosing) and the Indemnified Party shall cooperate with the Indemnifying Party in the defense of such claim, including the settlement of the matter on the basis stipulated by the indemnifying Party (with the Indemnifying Party being responsible for all costs and expenses of such settlement).

　　(ｂ)如果第三方提出一方按本合同規(guī)定有權(quán)獲得補(bǔ)償?shù)乃髻r請(qǐng)求，一方(“受補(bǔ)償方”)應(yīng)在實(shí)際可能的情況下盡早通知另一方(“補(bǔ)償方”)，但無論如何不得遲于在收到該等請(qǐng)求后的第_______日。受補(bǔ)償方未給予該通知并不排除其按本合同規(guī)定尋求補(bǔ)償，除非未給予該通知補(bǔ)償方抗辯該索賠請(qǐng)求的能力受到實(shí)質(zhì)影響。補(bǔ)償方(與其自行選擇的律師一起)應(yīng)及時(shí)對(duì)該索賠請(qǐng)求進(jìn)行抗辯，而受補(bǔ)償方應(yīng)在對(duì)該索賠請(qǐng)求進(jìn)行抗辯時(shí)與補(bǔ)償方合作，包括按照補(bǔ)償方規(guī)定的原則就該事項(xiàng)達(dá)成和解(補(bǔ)償方承擔(dān)該和解的一切費(fèi)用與支出)。

　　If the Indemnifying Party within a reasonable time after notice of a claim fails to defend the Indemnified party, the Indemnified Party shall be entitled to undertake the defense, compromise or settlement of such claim at the expense of the Indemnifying arty. Upon the assumption of the defense of such claim, the Indemnifying arty may settle, compromise or defend as it sees fit. Notwithstanding anything to the contrary set forth in this Section, seller will defend any suit, claim, action or proceeding brought against buyers to the extent that such suit, claim, action or proceeding is based on a claim that goods manufactured and sold by Seller to Buyer infringe patent, copyright, mask work, trademark, trade secret or any other intellectual property rights of any third party and Seller shall pay all damages and costs awarded by final judgment (from which no appeal may be taken) against Buyer, as well as its actual expenses and costs, on condition that Seller

　　如果補(bǔ)償方收到索賠通知后為受補(bǔ)償方辯護(hù)，則受補(bǔ)償方應(yīng)有權(quán)對(duì)該索賠進(jìn)行抗辯、妥協(xié)或和解，費(fèi)用由補(bǔ)償方承擔(dān)。在承擔(dān)對(duì)該等索賠請(qǐng)求的辯護(hù)后，補(bǔ)償方可進(jìn)行和解、妥協(xié)或抗辯，由其酌處。無論本條有何相反的規(guī)定，如果發(fā)生對(duì)買方的訴訟、索賠、訴訟行為或程序是基于以下主張，即賣方制造并銷售給買方的物品侵犯了任何第三方的_______國專利、版權(quán)、掩模、商標(biāo)、商業(yè)秘密或其他任何知識(shí)產(chǎn)權(quán)，則賣方將就該訴訟、索賠、訴訟行為或程序?yàn)橘I方辯護(hù)，并將支付局判決(不能再上訴的)判定由買方承擔(dān)的損害賠償與費(fèi)用，以及買方實(shí)際的支出與費(fèi)用，上述規(guī)定的條件是：

　　(i) is promptly informed and furnished a copy of ach communication, notice or other action relating to the alleged infringement, (ii) is given sole control of the defense (including the right to select counsel), and the sole right to compromise and settle such suit or proceeding; provided however, that Sellers liability hereunder, if any, shall be strictly and solely limited to the amount of royalties which would be payable in respect of revenues derived by Seller from Buyer from sales of the infringing goods. Seller shall not be obligated to defend or be liable for costs and damages if the infringement arises out if a combination with, an addition to, or modification of the goods after delivery by Seller, or from use of the goods, or any part thereof, in the practice of a process.

　　(1)賣方被及時(shí)告知侵權(quán)指控的發(fā)生，并得到與該侵權(quán)指控有關(guān)的每一通訊、通知或其他訴訟文書的副本，(2)得到該辯護(hù)的獨(dú)家控制權(quán)(包括選擇律師的權(quán)利)，以及就訴訟或程序進(jìn)行妥協(xié)或者和解的獨(dú)家權(quán)利；但是，賣方在本合同項(xiàng)下的責(zé)任(如果有的話)，應(yīng)嚴(yán)格地并且僅僅限于賣方因買方銷售侵權(quán)物品而應(yīng)從買方獲得的特許權(quán)使用費(fèi)收入金額。如果侵權(quán)是由賣方交貨后有人將物品混合、添加或改造而引起，或者由實(shí)施某一方法時(shí)使用物品(或其何部分)而引起，則賣方無義務(wù)進(jìn)行辯護(hù)，亦無承擔(dān)費(fèi)用或損害賠償?shù)呢?zé)任。

　　If any goods manufactured and supplied by Seller to Buyer are held to infringe any valid patent and Buyer is enjoined from using the same, or if seller believes such infringement is likely, Seller will exert all reasonable efforts at its option and expense (i) to procure for Buyer the right to use such goods free of any liability for such infringement, or (ii) replace or modify such goods with a noninfringing substitute otherwise complying substantially with all the requirements of this contract, or (iii) upon return of the goods, refund the purchase price and the transportation costs of such goods (less reasonable allowance for their use and benefit derived therefrom for the period of time from delivery to Buyer, such allowance being based on a straight-line depreciation period of _______ years from the date of shipment by Seller).

　　如果賣方制造并向買方提供的任何物品被判定侵犯有效的_______國專利，且賣方被禁止使用該專利，或者如果賣方相信很可能發(fā)生侵權(quán)，賣方將盡一切合理的努力，自費(fèi)從以下措施中作出選擇：(1)為買方取得使用該等物品而不產(chǎn)生侵權(quán)責(zé)任的權(quán)利，或(2)以在其他方面實(shí)質(zhì)符合本合同所有規(guī)定的非侵權(quán)替代品來代替或改造該等物品，或(3)在該等物品被返還后，退還該等物品的購買價(jià)以及運(yùn)費(fèi)(扣除向買方交貨至退還期間使用該等物品并從中獲得利益的折扣金額，該折扣金額按從賣方裝運(yùn)之日起_______年直線式折舊來計(jì)算)。

　　If the infringement is alleged prior to completion of delivery of the goods, Seller has the right to decline to make further shipments without being in breach of contract. If Seller has not been enjoined from selling such goods to Buyer, Seller may (at Sellers sole election), at Buyers request, supply such goods to Buyer, in which event Buyer shall be deemed to extend to Seller the same patent indemnity hereinabove stated. The same patent indemnity shall be deemed to be extended to Seller by buyer if any suit or proceeding is brought against Seller based on a claim that the goods manufactured by Seller in compliance with Buyers specifications infringe any valid patent. Buyer shall promptly notify Seller of any infringement by a third party of intellectual property rights licensed to Buyer under this contract. In the event that a third party infringes such intellectual property rights, the Parties shall cooperate with one another to take appropriate action to cause such infringement to cease. The foregoing states the sole and exclusive liability of the parties hereto for infringement of patents, copyrights, mask works, trade secrets trademarks, and other proprietary rights, whether direct or contributory, and is in lieu of all warranties, express, implied or statutory, in regard hereto, including, without limitation, the warranty against infringement specified in the uniform commercial code.

　　如果交貨完成前發(fā)生權(quán)指控，賣方有權(quán)拒絕進(jìn)一步裝運(yùn)，而不構(gòu)成違約。如果賣方還沒有被禁止向買方銷售該等物品，應(yīng)買方請(qǐng)求，賣方可以(僅由賣方酌定)向買方供應(yīng)該等物品，在此情況下，買方應(yīng)被視為向賣方做出與本合同上文所述相同的專利補(bǔ)償保證。如果有人指稱賣方按照買方規(guī)格制造的物品侵犯了有效的_______國專利，并以此為根據(jù)向賣方提起訴訟或程序，則買方應(yīng)被視為已向賣方做出同樣的專利補(bǔ)償保證。

　　買方應(yīng)將第三方侵犯本合同項(xiàng)下許可給買方的知識(shí)產(chǎn)權(quán)及時(shí)通知賣方。如果第三方侵犯該等知識(shí)產(chǎn)權(quán)，雙方應(yīng)互相合作，采取適當(dāng)?shù)男袆?dòng)制止該侵權(quán)行為。

　　上文規(guī)定了本合同雙方就專利、版權(quán)、掩模、商業(yè)秘密、商標(biāo)以及其他專有權(quán)利的侵權(quán)(無論是直接的還是協(xié)從的)所承擔(dān)的唯一責(zé)任，并且取代就其所做出的所有保證(明示的、暗示的或法定的)，包括(但不限于)＿＿＿＿＿中規(guī)定的不侵權(quán)保證。

　　and “LESSEE” wherever the context so permit shall always mean and include their reective heirs, successors legal representative and assignees).

　　WHEREAS the LESSOR is the lawful owner and in lawful possession of House No,***-*,DHA,

　　Lahore Cantt, consisting of 4 Bedrooms with bath, DD,TV; Lounge, Kitchen, Store, Servant, Quarter together with fixtures and fitting (hereinafter collectively called the DEMISED PREMISES).

　　AND WHEREAS the LESSOR has agreed the lease and the LESSEE has agreed to take on lease the DEMISED PREMISES on the terms and condition as given below:-

　　1.This agreement in only valid if LESSEE is renewed and extended for the lease period.

　　2. The LESSOR lets LESSEE takes the DEMISSED PREMISES for a period of 2 months

　　七、其他費(fèi)用：

　　乙方應(yīng)承擔(dān)租賃期內(nèi)實(shí)際使用而產(chǎn)生的水、電、液化氣費(fèi)、電話費(fèi)并按單自行如期交納所屬管理公司或有關(guān)機(jī)構(gòu)。

　　八、甲方的責(zé)任：

　　8. 甲方須按時(shí)將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。

　　party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)

　　8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定)，甲方保證乙方可不受干擾的享用該物業(yè)。

　　party a shall not repossess the leased property during the term of party a disturb of interfere with party b’s quiet enjoyment of the leased property.

　　8.3 在乙方遵守本合同的條款及支付租金的前提下，乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。

　　proviede that party b pays the rent and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.

　　8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu)，進(jìn)出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。

　　九、乙方的責(zé)任：

　　9. 乙方應(yīng)按合同的規(guī)定，按時(shí)支付租金，保證金及其他各項(xiàng)應(yīng)付費(fèi)用。

　　9.2 乙方應(yīng)愛護(hù)使用出租房屋，如因乙方的過失或過錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外)，乙方應(yīng)負(fù)賠償責(zé)任。

　　9.3 乙方應(yīng)按本合同的約定合法使用出租房屋，不得擅自改變使用性質(zhì)，不應(yīng)存放中華人民共和國法律下所禁止的危險(xiǎn)物品，如因此發(fā)生損害，乙方應(yīng)承擔(dān)全部責(zé)任。

　　9.4 未經(jīng)甲方事先書面同意，乙方不得將出租房屋轉(zhuǎn)租或租給其他的第三者。

　　十、違約處理：

　　10. 1 甲、乙任何一方如未按本合同的`條款履行，構(gòu)成違約，應(yīng)承擔(dān)相應(yīng)的違約責(zé)任。雙方同意違約方應(yīng)賠償守約方之直接損失人民幣_(tái)___________元。

　　alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;

　　c.無故拖欠租金超過三天(除雙方就本合同存在爭議除外)。

　　fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a diute in reect of this agreement.

　　十一、適用法律：

　　本合同的成立，其有效性、結(jié)實(shí)、簽署和解決與其他有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。

　　賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天，以電報(bào)/電傳/傳真通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期，以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后，如賣方不能按時(shí)裝船，發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。

　　The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

　　賣方須按時(shí)在裝運(yùn)期限內(nèi)將貨物由裝運(yùn)港裝船到目的港。在CFR術(shù)語下，賣方應(yīng)在裝船前2天電傳/傳真/電報(bào)買方合同號(hào)、品名、發(fā)票價(jià)值及開船日期，以便買方安排保險(xiǎn)。

　　The sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . Under CFR terms , the sellers shall advise the buyers by CABLE/FAX/TELEX of the contract No. , commodity , invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

　　14．裝運(yùn)通知

　　一件裝載完畢，賣方應(yīng)在____小時(shí)內(nèi)電傳/傳真/電報(bào)買方合同編號(hào)、品名、已發(fā)運(yùn)數(shù)量、發(fā)票總金額、毛重、船名/車/機(jī)號(hào)及啟程日期等。

　　The sellers shall immediately upon the completion of the loading of the goods , advise buyers of the contract No., names of commodity , loading quantity , invoice values , gross weight , name of vessel and shipment date by TLX/FAX/CABLE within _____hours .

　　15．質(zhì)量保證：

　　Quality guarantee :

　　貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定，品質(zhì)保證期為貨到目的港_____個(gè)月內(nèi)，在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過程中的`缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。

　　The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.

　　16．商品檢驗(yàn)：賣方須在裝運(yùn)前_____日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書，貨到目的港后，由買方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。

　　Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.

　　17．索賠

　　Claims:

　　如經(jīng)中國_____檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符，買方可于貨到目的港后 天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。

　　The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.

　　18．延期交貨違約金

　　Late delivery and penalty

　　除雙方認(rèn)可的不可抗力因素外，賣方遲于合同規(guī)定的期限交貨，如買方同意遲延交貨，賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%，差率按7天0.5%計(jì)算，不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下，賣方應(yīng)將前述方法計(jì)算的違約金即付買方。

　　If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.

　　19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負(fù)責(zé)，但賣方應(yīng)將上述發(fā)生的情況及

　　時(shí)通知買方。

　　Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.

　　20．爭議之解決方式：

　　Disputes settlement :

　　□任何因本合同而發(fā)生或與本合同有關(guān)的爭議，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的，對(duì)雙方均有約束力。

　　All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . 　　6. 傭金 Commission

　　在本協(xié)議期滿時(shí)，若乙方完成了第二款所規(guī)定的數(shù)額，甲方應(yīng)按裝運(yùn)貨物所收到的發(fā)票累計(jì)總金額付給乙方*%的傭金。

　　Upon the expiration of the Agreement and Party Bs fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B…… % commission on the basis of the aggregate amount of the invoice value against the shipments effected.

　　7. 市場情況報(bào)告 Reports on Market Conditions

　　乙方每3個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場情況和用戶意見的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其他供應(yīng)商的類似商品樣品及其價(jià)格、銷售情況和廣告資料。

　　Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall,from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.

　　8. 宣傳廣告費(fèi)用 Advertising & Publicity Expenses

　　在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

　　Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.

　　9. 協(xié)議有效期 Validity of Agreement

　　本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**.若一方希望延長本協(xié)議，則須在本協(xié)議期滿前1個(gè)月書面通知另一方，經(jīng)雙方協(xié)商決定。

　　若協(xié)議一方未履行協(xié)議條款，另一方有權(quán)終止協(xié)議。

　　This Agreement, after its being signed by the parties concerned, shall remain in force for…… days from …… to …… If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. 　　All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.

　　If Party B breaks any part of this contract, such as not paying the rent punctually, or causing additional expenses to Party A, Party A has the right to retain part of or all of

　　the deposit as compensation according to its actual losses. If the said deposit is insufficient to cover Party A’s costs, Party A has the right to ask for compensation if any.

　　Party A is not permitted to take back the leased property during the term of the contract without any reason. If Party A wishes to do so, Party B has the right to object.

　　6.2 負(fù)責(zé)對(duì)乙方正常使用中發(fā)生的房內(nèi)家具、電器及其他設(shè)施損壞或故障進(jìn)

　　行及時(shí)維修并承擔(dān)費(fèi)用。

　　To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.

　　6.3 督促物業(yè)公司提供充分的保安、消防工作及安靜清潔的居住環(huán)境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.

　　To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.

　　7.1 乙方應(yīng)按本租約三、四、五條款規(guī)定交付租金，押金和各項(xiàng)費(fèi)用，如有

　　拖欠，則作違約論。

　　Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3,4 and 5of the Agreement. Non-payment of these charges constitutes a breach of this Agreement.

　　7.2 租賃期內(nèi)未經(jīng)甲方同意，乙方不能轉(zhuǎn)租其所租房屋，私自轉(zhuǎn)讓無效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.

　　7.3 乙方應(yīng)愛護(hù)房屋及其設(shè)備，如因使用不當(dāng)導(dǎo)致?lián)p壞應(yīng)負(fù)責(zé)賠償。

　　Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.

　　7.4 在房內(nèi)已有的裝飾和設(shè)施之外，乙方如要增加設(shè)備或其他裝修須征得甲

　　方同意；租賃期滿必須恢復(fù)原狀如有損壞（正常使用磨損、結(jié)構(gòu)或原有的問題除外），并承擔(dān)其費(fèi)用，經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。

　　In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.

　　7.5 保證賠償由于乙方或乙方有關(guān)系的官員、上司、雇員、客人、來訪者、

　　雇傭工人、代理、執(zhí)照持有者或被邀請(qǐng)人等（統(tǒng)稱與乙方相關(guān)的人）的粗心及疏忽造成的房屋的損害或損失，并允許甲方或其代理人在事先通知后進(jìn)入房屋，對(duì)房屋的損失或損害進(jìn)行彌補(bǔ)及修復(fù)，在此所發(fā)生的費(fèi)用由乙方負(fù)擔(dān)。

　　To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.

　　With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done. During the last one months of the Tenancy, Party A has the right to show the

　　leased property to prospective lessors or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.

　　7.7 在未經(jīng)甲方書面同意下，乙方不得擅自設(shè)立、安裝或移動(dòng)設(shè)施及設(shè)備，

　　不能擅自設(shè)立隔段，不得擅自對(duì)房屋的結(jié)構(gòu)機(jī)關(guān)改動(dòng)或增加。

　　Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

　　7.8 租賃房屋過程中，必須嚴(yán)格遵守中華人民共和國的有關(guān)法律、細(xì)則、規(guī)

　　章及法令的規(guī)定，并嚴(yán)格禁止乙方利用房屋進(jìn)行違犯法律及不道德的行為。

　　Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.

　　7.9 房屋除供乙方居住之外，未經(jīng)甲方書面同意，房屋不可作辦公或協(xié)議未

　　曾說明之用。上述同意不應(yīng)不合理地拒絕。

　　To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.

　　7.10 未經(jīng)甲方書面同意，屋外不得擅自放置標(biāo)示板及陳列任何設(shè)施，不允許

　　在房外、窗及門上掛曬衣物以影響房屋外觀面貌，該條件不得被不合理拒絕。

　　Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.

　　7.11 租客必須遵守物業(yè)條例準(zhǔn)則，如出現(xiàn)糾紛需與業(yè)主來協(xié)商調(diào)解。

　　To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.

　　八、 房屋不能居住時(shí)其他事件:

　　房屋由于火災(zāi)，惡劣天氣，戰(zhàn)爭或其它甲方不可抗拒因素，而不是

　　因?yàn)橐曳街苯踊蜷g接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時(shí)，乙方從該日起停止支付租金，直至房屋可再被使用及居住時(shí)為止，如該房屋因任何不能歸因于乙方的原因不能正常使用超過10天，乙方有權(quán)終止合同并無需承擔(dān)任何責(zé)任，甲方應(yīng)退還剩余部分押金及預(yù)付租金。甲方根據(jù)自己的意愿及經(jīng)濟(jì)、實(shí)際意義等原因，沒有義務(wù)必須修繕復(fù)原房屋。若此情況發(fā)生，甲方應(yīng)書面通知乙方，并在作出上述通知的十天之內(nèi)將押金及預(yù)付租金全部退還乙方。

　　If the leased property are substantially destroyed or damaged by fire, bad weather, war, force major, or other causes beyond the control of Party A and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, if the lessor’s property can not be properly used for any reasons beyond 10 days, Party B has the right to terminate the agreement without any

　　(1) VOLKSWAGEN GROUP IMPORT CO., LTD.(company name in Chinese: (formerly known as Volkswagen Import Co., Ltd),a wholly foreign owned limited liability company incorporated under the laws of PRC whose registered address is at Room 519-3 Tengda Building, No. 18, International Trade Road, Tianjin Port Free Trade Zone (the “VGIC”); and

　　大眾汽車（中國）銷售有限公司 （以前叫做“大眾汽車銷售有限公司”），該公司為外商獨(dú)資有限公司，依據(jù)中華人民共和國的法律組建而成，注冊(cè)地址為：

　　Each of VGIC and the Dealer is a “party”, and collectively are the “parties”.

　　大眾公司和經(jīng)銷商在本協(xié)議中單獨(dú)稱為“一方”，集體稱為“雙方”。

　　WHEREAS: 鑒于：

　　A. The parties entered into a Contract with Authorized Purchaser (Dealer) of Lamborghini Import “Dealer Contract”).

　　B. The parties agree to terminate the Dealer Contract in accordance with, and subject to, the terms and conditions of this Agreement.

　　1.2 Each party’s rights and obligations under the Dealer Contract shall cease immediately on termination, except for the clauses which are expressed to survive termination. The Dealer hereby renounces and surrenders any and all rights granted pursuant to or in relation to Dealer Contract.

　　1.3The termination of the Dealer Contract does not of itself give rise to any liability on the part of VGIC to pay any compensation to the Dealer, including but not limited to, for loss of profits or goodwill.

　　1.4 The Dealer hereby waives, releases and forever discharges VGIC,VGIC’semployees and affiliates, and any replacing dealership appointed by VGIC against any actions, proceedings, claims, demands, costs and expenses which the Dealer may now have or would have had for the termination of the Dealer Contract, including but not limited to any applicable rights upon termination of agreements it has may have had under the Dealer Contractor any applicable law. 經(jīng)銷商現(xiàn)此放棄、免除并永遠(yuǎn)解除大眾公司、大眾公司的雇員和附屬公司、大眾公司指定的任何替代經(jīng)銷商就經(jīng)銷商針對(duì)所述經(jīng)銷商合同的終止可能享有的、將會(huì)享有的任何起訴、訴訟程序、索賠、權(quán)利主張、花費(fèi)和開支而應(yīng)當(dāng)承擔(dān)的責(zé)任，包括但不限于所述經(jīng)銷商合同終止時(shí)經(jīng)銷商依據(jù)任何適用的法律而享有的、可能享有的任何適用權(quán)利。

　　1.5 The Dealer by executing this Agreement, for and on behalf of Dealer and all persons and entities who at present, in the past or in the future may have, have had or may hereafter have a legal or beneficial ownership or other interest in Dealer, and their respective heirs, executors, administrators, successors and assigns (collectively the “Releasors”), hereby agrees to and does hereby unconditionally, irrevocably and forever voluntarily terminate and surrender to VGIC, as of the Effective Date, the Dealer Contract and any other agreements relating to the sale of the Lamborghini brand products and waives, terminates and surrenders to VGIC any and rights arising out or relating to the Dealer Contract or in connection with the Dealer Contract, including, without limitation, any and all rights, if any, to a continuation, extension or renewal of the Dealer Contract or any related business relationships between VGIC and the Dealer or any of the other Releasors after the Effective Date, which they, or any of them, may now or hereafter have or acquire.

　　通過本協(xié)議的簽署，經(jīng)銷商代表經(jīng)銷商、以及過去、現(xiàn)在和將來和經(jīng)銷商可能有、已經(jīng)有、之后可能有法律關(guān)系、受益所有權(quán)或者其它利益關(guān)系的任何人員和實(shí)體、其各自的繼承人、執(zhí)行人、管理人、繼任人和受讓人（總體稱為“放棄權(quán)利人”），現(xiàn)此同意為了大眾公司并無條件地、不可撤銷地且永遠(yuǎn)自愿地從生效日期起終止并讓出所述經(jīng)銷商合同以及和所述蘭博基尼品牌產(chǎn)品的銷售相關(guān)的其它任何協(xié)議，為了大眾公司放棄、終止和讓出因?yàn)樗�述�?jīng)銷商合同引起的或者與之相關(guān)的任何權(quán)利，包括但不限于延續(xù)、續(xù)展、續(xù)訂所述經(jīng)銷商合同或者大眾公司和經(jīng)銷商或者其它任何放棄權(quán)利人之間在生效日期后的任何相關(guān)業(yè)務(wù)關(guān)系的任何權(quán)利（如果有的話），因?yàn)榇蟊姽�司和�?jīng)銷商或者其它任何放棄權(quán)利人（或者其中的部分人員）在當(dāng)前或者今后可能具有或者取得該種業(yè)務(wù)關(guān)系。

　　1.6 The parties hereto intend that this Agreement constitute a general release of all claims, demands, actions, causes of action, whether known or unknown, suspected or unsuspected, that the Dealer and/or any of the other Releasors had, may have or may claim to have to the Effective Date.

　　2. Obligations Following Signing of This Agreement 第二條 簽署本協(xié)議產(chǎn)生的義務(wù)

　　2.1 Following the signing of this Agreement, both parties shall make best efforts to cooperate with each other, including providing and executing all necessary documents and materials and

　　taking all necessary actions, to ensure an uninterrupted supply of parts and after sales services as required by customers after the date of termination of the Dealer Contract.

　　本協(xié)議簽署后，協(xié)議雙方應(yīng)當(dāng)盡最大努力展開合作，包括但不限于提供并簽署所有必要的文件和材料并采取必要的措施，確保所述經(jīng)銷商合同終止后，能夠按照客戶的要求不間斷地提供零部件和售后服務(wù)。

　　2.2 Following the signing of this Agreement, the Dealer undertakes to VGIC that it shall: 本協(xié)議一經(jīng)簽署，經(jīng)銷商即向大眾公司保證：經(jīng)銷商應(yīng)當(dāng)

　　(a)Immediately inform its customers (especially owners of vehicles sold by the Dealer) of the Dealer’s closure using the mutually agreed template attached to this Agreement, and obtain the customers’ consent to the transfer of the customer’s information to VGIC and VGIC’s use of such informationsubject to the applicable laws and regulations of PRC;

　　使用本協(xié)議隨附的且雙方一致同意的方式，把經(jīng)銷商和大眾公司之間簽訂的所述經(jīng)銷商合同的終止情況立即告知經(jīng)銷商自己的客戶（特別是從經(jīng)銷商處購買了汽車的車主），取得客戶同意后，把客戶信息移交給大眾公司，大眾公司應(yīng)當(dāng)按照適用的中華人民共和國的法律和法規(guī)來使用該種信息。

　　(b) Immediately execute the necessary contracts for the transfer of its repair, return and replacement obligations pursuant to the applicable laws and regulations and the Dealer’s sales contracts for vehicles sold by the Dealer to a mutually agreed affiliate;

　　立即根據(jù)適用的法律和法規(guī)以及經(jīng)銷商就銷售給雙方一致同意的'附屬公司的車輛而簽訂的銷售合同，為維修義務(wù)、產(chǎn)品退回義務(wù)和替換義務(wù)的讓與而簽署必要的合同。

　　(c) immediately transfer, and ensure its affiliated companies transfer, to VGIC or other Volkswagen Group companies respectively, without any consideration, the trademarks registered in the PRC and/or trademark registration applied in the PRC, which belong to VGIC or other Volkswagen Group companies, and any domain names registered in the PRC, which contain the Lamborghini trademarks or name of VGIC or other Volkswagen Group companies;

　　(e) not apply, and ensure its affiliated companies not apply, directly or indirectly, for registration of any trademarks or names (including any Chinese translations) belonging to VGIC or other Volkswagen Group companies. Otherwise, VGIC or other Volkswagen Group companies are entitled to request such trademarks and/or names transferred to VGIC or other Volkswagen Group companies, free of charge, at any time;

　　2.5 The Dealer agrees to maintain strict confidentiality regarding all VGIC’s confidential information, including any data, information, plans, drawings, specifications, documents, know-how, physical objects (such as models, parts or devices) or materials of or relating to the production, engineering, technology, financing, marketing of Volkswagen and Lamborghini products, personnel of VGIC, their parent corporation or their subsidiaries or affiliates, if such confidential information is not known or available to the public (“Confidential Information”). 　　五、押金 / Deposit

　　1.為確保房屋及其附屬設(shè)施之安全與完好，及租賃期內(nèi)相關(guān)費(fèi)用之如期結(jié)算，乙方同意于月元整，甲方在收到押金后予以書面簽收。 Guarantying the safety and good conditions of the premises and attached facilities and account of

　　Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.

　　3. 因乙方違反本合同的規(guī)定而產(chǎn)生的違約金、損壞賠償金和其它相關(guān)費(fèi)用，甲方可在押金中抵扣，不足部分乙方必須在接到甲方付款通知后十日內(nèi)補(bǔ)足。

　　In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit. In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.

　　4. 因甲方原因?qū)е乱曳綗o法在租賃期內(nèi)正常租用該物業(yè)，甲方應(yīng)立即全額無息退還押金予乙方，且乙方有權(quán)追究甲方的違約責(zé)任。

　　If Party B can’t normally use the apartment because of Party A, Party A should return the deposit to Party B at once. And, Party B has the right to ask for the compensation from Party A.

　　六、甲方義務(wù) / Obligations of Party A

　　1.甲方須按時(shí)將房屋及附屬設(shè)施（詳見附件）交付乙方使用。

　　Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.

　　2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞，甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物，以致乙方無法正常使用房屋設(shè)施，乙方有權(quán)終止該合約，并要求退還押金。

　　In case the premise and attached facilities are damaged by quality problems, natural damages or

　　accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.

　　3. 甲方應(yīng)確保出租的房屋享有出租的權(quán)利，如租賃期內(nèi)該房屋發(fā)生所有權(quán)全部或部分轉(zhuǎn)移、設(shè)定他項(xiàng)物權(quán)或其他影響乙方權(quán)益的事件，甲方應(yīng)保證所有權(quán)人、他項(xiàng)權(quán)利人或其他影響乙方權(quán)益的第三者能繼續(xù)遵守本合同所有條款，反之如乙方權(quán)益因此遭受損害，甲方應(yīng)負(fù)賠償責(zé)任。 Party A will guarantee the lease right of the premises. In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, .party A shallguarantee that the new owner, and other associated ,third parties shall be bound by the terms of this contract. Otherwise, Party A will be responsible to compensate party B’s losses.

　　七、乙方義務(wù)/ Obligations of Party B

　　1.乙方應(yīng)按合同的規(guī)定按時(shí)支付租金及押金。

　　Party B will pay the rental and the deposit on time.

　　2.乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿后，乙方將添置的設(shè)備搬走，并保證不影響房屋的`完好及正常使用。

　　Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.

　　3.未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。

　　Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

　　4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋，不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則，如該房屋及附屬設(shè)施因此受損，乙方應(yīng)承擔(dān)全部責(zé)任。

　　Party B will bear the cost of utilities such as telephone communications, water, electricity and gas on time during the lease term.

　　八、合同終止及解除的規(guī)定/ Termination and dissolution of the contract

　　1. 乙方在租賃期滿后如需續(xù)租，應(yīng)提前一個(gè)月通知甲方，由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

　　Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension. Under the same terms Party B has the priority to lease the premises.

　　2. 租賃期滿后，乙方應(yīng)將房屋交還甲方；任何滯留物，如未取得甲方諒解，均視為放棄，任憑甲方處置，乙方?jīng)Q無異議。

　　When the lease term expires, Party B will return the premises and attached facilities to Party A. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party

　　B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.

　　3. 本合同一經(jīng)雙方簽字后立即生效；未經(jīng)雙方同意，不得任意終止，如有未盡事宜，甲、乙雙方可另行協(xié)商。

　　This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties.

　　九、違約及處理/ Breach of the contract

　　1. 甲、乙雙方任何一方在未征得對(duì)方諒解的情況下，不履行本合同規(guī)定條款，導(dǎo)致本合同中途終止，則視為該方違約，雙方同意違約金為 元整，若違約金不足彌補(bǔ)無過錯(cuò)方之損失，則違約方還需就不足部分支付賠償金。

　　During the lease term, any party who fails to fulfill any article of this contract without the other party’s understanding will be deemed to breach the contract. Both parties agree that the default fine will be RMB . In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

　　2. 若雙方在執(zhí)行本合同或與本合同有關(guān)的事情時(shí)發(fā)生爭議，應(yīng)友好協(xié)商；協(xié)商不成，可向有管轄權(quán)的人民法院提起訴訟。

　　Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

The Seller shall, on the merits of the claim, either make good the loss sustained by the Buyer or reject their claim, it being agreed that the seller shall not be held responsible for any loss or losses due to natural cause failing within the responsibility of Ship owners of the Underwriters. The Seller shall reply to the Buyer within 30 days after receipt of the claim.

Except for Force Majeure, if late delivery occurs, the Seller must pay a penalty, and the Buyer shall have the right to lodge a claim against the Seller. The rate of penalty is charged at 0.5% for every 7 days, odd days less than 7 days should be counted by the paying bank or the Buyer from the payment.

　　FORCE MAJEURE: The Seller shall not held responsible if they, owing to Force Majeure cause or causes, fail to make delivery within the time stipulated in the Contract or cannot deliver he goods. However, in such a case, the Seller shall inform the Buyer immediately by cable and if it is requested by the Buyer, the Seller shall also deliver to the Buyer by registered letter, a certificate attesting the existence of such a cause or causes.

　　ARBITRATION: All disputes in connection with this contract or the execution thereof shall be settled amicably by negotiation. In case no settlement can be reached, the case shall then be submitted to the China International Economic Trade Arbitration Commission for settlement by arbitration in arbitration in accordance with the Commission’s arbitration rules. 　　QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim should be filed

　　port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized

　　Public Surveyors agreed to by the Sellers. Should the responsibility of the subject under claim

　　The Sellers reserve the option of shipping the indicated percentage more or less than the quantity hereby contracted, and the covering Letter of Credit shall be negotiated for the amount coveringthe value of quantity actually shipped. (The Buyers are requested to establish the L/C in accordwith the indicated percentage over the total value of order as per this Sales Contract.)

　　（3） 信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買方負(fù)擔(dān)，賣方亦 不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任。并保留因此而發(fā)生的一切損失的索賠權(quán)。

　　The contents of the covering Letter of Credit shall be in strict accordance with stipulations of the Sales Contract; in case of any variation thereof necessitating amendment of the L/C, the Buyersshall bear the expenses for effecting the amendment. The sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C, and reserve the right to claim from the Buyers compensation for the losses resulting therefrom.

　　Except in case where the insurance is covered by the Buyers as arranged, insurance is to becovered by the Sellers with a Chinese insurance company. If insurance for additional amountand/or for other insurance terms is required by the Buyers, prior notice to this effect mush reach the Sellers before shipment and is subject to the Sellers’ agreement, and the extra insurance premium shall be for the Buyers’ account.

　　（5） 買方須將申請(qǐng)?jiān)S可證副本（經(jīng)有關(guān)銀行副署）寄給賣方俟許可證批出后再即用傳真通知 賣方，假如許可證被駁退，買方須征得賣方的同意方可重行申請(qǐng)?jiān)S可證。

　　(endorsed by the relative bank) filed by the Buyers and to advise the Sellers by fax immediately

　　when the said License is obtained. Should the Buyers intend to file reapplication for License

　　latter’s consent before filing reapplication.

　　(C) The seller must notify the buyer of goods, quantity, gross weight, invoice amount, name of the vessel, and departure dates by telegraph/telex within 48 hours after shipment.

　　(d) If any piece of cargo to meet or exceed the weight of 10 tons, 15meters long , 10 meters wide, the seller shall 50 days before shipment provide the buyer with five copies of detailed packing drawing, indicating detailed size and weight, so that the buyer can arrange inland transport.

　　do not match with the contract, in addition to which insurance companies or ship shall be responsible for, the buyer has the right to refuse accepting the goods and claim to the seller,within 7 days after arrival at the port of destination .

　　(c) If the inspection certificate can not be settled within the validity period of the contract for some unforeseen reasons, the buyer should telephone the seller to extend the inspection period for 3 days.

　　(a) Within 3 days from the date of the arrival of the goods at the final destination,if the quality,specification,quantity and packing of the goods are found not in conformity with the stipulations of this contract,the Buyer shall give a notice of claims to the Seller within the above mentioned time limit and have the right to lodge claims . 　　空運(yùn)提單副本一份，標(biāo)明“運(yùn)費(fèi)付訖”/“運(yùn)費(fèi)預(yù)付”，寄交買方。

　　（2）商業(yè)發(fā)票一式五份，標(biāo)明合同號(hào)和貨運(yùn)嘜頭（若貨運(yùn)嘜頭多于一個(gè)，發(fā)票需單獨(dú)開列），發(fā)票根據(jù)有關(guān)合同詳細(xì)填寫。

　　（3）在CIF條件下的保險(xiǎn)單/保險(xiǎn)憑證 份。 （4）由廠商出具的裝箱清單一式 份。 （5）由廠商出具的質(zhì)量和數(shù)量保證書。 （6）原產(chǎn)地證明書

　　（7）貨物裝運(yùn)后立即用電報(bào)／信件通知買方。 第十二條． 裝運(yùn)條件： （1）FOB條款：

　　A、a、由買方負(fù)責(zé)按照合同規(guī)定的交貨日期租船訂艙。

　　b、賣方船運(yùn)代理________ 公司________ ，(電報(bào)：________ )，負(fù)責(zé)

　　辦理租船訂艙事宜。

　　B、賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前天，用電報(bào)／信件將合同號(hào)、品名、數(shù)量、價(jià)值、箱號(hào)、毛重、裝箱尺碼和貨抵裝運(yùn)港日期通知買方，以便買方租船訂艙。

　　C、買方應(yīng)在裝船期前 日通知賣方船名、預(yù)計(jì)裝船日期、合同號(hào)，以便賣方安排裝運(yùn)，要求賣方與船方代理保持密切聯(lián)系。

　　D、如果有必要改變裝運(yùn)船只或者其到達(dá)日期，買方或其運(yùn)輸代理應(yīng)及時(shí)通知賣方。

　　E、如果船只不能在賣方通知的船期后 日內(nèi)到達(dá)裝運(yùn)港，買方應(yīng)承擔(dān)從第 日起發(fā)生的貨物倉儲(chǔ)保管費(fèi)用和此期間的貨物保險(xiǎn)費(fèi)用。

　　F、若載運(yùn)船舶如期抵達(dá)裝運(yùn)港，賣方因備貨未妥而影響裝船，則空艙費(fèi)和滯期費(fèi)均由賣方承擔(dān)。

　　G、貨物越過船舷之前，一切費(fèi)用和風(fēng)險(xiǎn)由賣方承擔(dān)；貨物越過船舷之后，一切費(fèi)用和風(fēng)險(xiǎn)屬買方。

　　（2）CFR和CIF條款：

　　賣方于本合同第六條規(guī)定的裝運(yùn)日期前天，以電報(bào)／信件把交貨預(yù)定期、合同號(hào)、品名、發(fā)票金額等通知買方。貨物交辦發(fā)運(yùn)，賣方即刻以電報(bào)／信件將合同號(hào)、品名、發(fā)票金額、交辦日期通知買方，以便買方及時(shí)投保。

　　第十三條．允許/不允許部分裝運(yùn)或轉(zhuǎn)運(yùn)。

　　第十四條．賣方有權(quán)在 ％數(shù)量內(nèi)溢裝或短裝。 第十五條．質(zhì)量保證：

　　賣方保證：所供貨物，其質(zhì)量、規(guī)格和工藝符合本合同所作的說明，標(biāo)明商標(biāo)的貨物包裝為新的和未經(jīng)使用的。保證期為自貨到目的港卸貨完畢之日起12個(gè)月。在質(zhì)量保證期內(nèi)，凡因設(shè)計(jì)、制造工藝和所有材料而產(chǎn)生的缺陷，賣方應(yīng)自負(fù)費(fèi)用進(jìn)行修理或更換貨物。

　　第十六條．檢驗(yàn)：

　　在貨物運(yùn)抵最終目的地后，買方有權(quán)向向貨物檢驗(yàn)機(jī)構(gòu)申請(qǐng)對(duì)貨物進(jìn)行檢驗(yàn)。檢驗(yàn)機(jī)構(gòu)為中華人民共和國進(jìn)出口商品檢驗(yàn)局。

　　第十七條. 索賠：

　　自貨到目的港起天內(nèi)，經(jīng)發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量、重量、包裝、安全或衛(wèi)生條件與合同規(guī)定不符者，除應(yīng)由保險(xiǎn)公司或船方承擔(dān)的部分外，買方可憑前條規(guī)定的檢驗(yàn)機(jī)構(gòu)所出具的商品檢驗(yàn)證書，有權(quán)要求更換或索賠。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。

　　貨到目的港起12個(gè)月內(nèi)，使用過程中由于材料質(zhì)量和工藝問題而出現(xiàn)的損傷，買方應(yīng)當(dāng)立即以書面形式通知賣方并出具前條規(guī)定的檢驗(yàn)機(jī)構(gòu)開列的檢驗(yàn)證書，提出索賠，賣方應(yīng)當(dāng)承擔(dān)違約責(zé)任。賣方應(yīng)在收到索賠要求后天內(nèi)回復(fù)買方。

　　第十八條． 不可抗力：

　　（1）在貨物制造和裝運(yùn)過程中，由于不可抗力的原因（如戰(zhàn)爭、嚴(yán)重火災(zāi)、水災(zāi)、臺(tái)風(fēng)和地震或其他由雙方認(rèn)可的.事件）致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方于不可抗力事件發(fā)生后，應(yīng)立即通知買方并在事發(fā) 天內(nèi)，以航空郵件將事故發(fā)生所在地當(dāng)局簽發(fā)的證書寄交買方以作證據(jù)。

　　（2）在此情況下，買賣雙方應(yīng)當(dāng)根據(jù)具體情況確定合同是否能夠繼續(xù)履行以及賣方是否仍有責(zé)任采取必要措施促使盡快交貨。

　　（3）不可抗力事故發(fā)生后超過 天而合同尚未履行完畢，買方有權(quán)解除合同。

　　第十九條．合同延期和罰款：

　　除本合同十八條所述不可抗力原因外，賣方若不能按合同規(guī)定如期交貨，應(yīng)當(dāng)提前 通知買方，買方可同意延期交貨，且可以同時(shí)相應(yīng)減少議定的貨款支付金額，并通知付款銀行相應(yīng)減少議定的支付金額。該減少的部分作為合同延期履行的違約金，但違約金數(shù)額不得超過遲交貨物總額的5％。賣方若逾期10個(gè)星期仍不能交貨，買方有權(quán)解除合同，且有權(quán)要求賣方如期支付上述違約金。

　　第二十條．合同爭議的解決方式：

　　凡涉及本合同或因執(zhí)行本合同而發(fā)生的一切爭議，應(yīng)通過友好協(xié)商解決，如果協(xié)商不能解決，則可提交中國-西安仲裁委員會(huì)根據(jù)該會(huì)的仲裁規(guī)則和程序進(jìn)行仲裁。仲裁將在西安進(jìn)行，仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)用由仲裁庭決定具體承擔(dān)。

　　第二十一條．附加條款： （1）法律適用： 本合同之簽訂地、或發(fā)生爭議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人時(shí)，適用中華人民共和國法律，除此規(guī)定外，適用《聯(lián)合國國際貨物銷售公約》/ 。
