　　The Borrower operates Manufacture and sale of the spray-stone （the Stone Business）；

　　借款方因生產(chǎn)經(jīng)營(yíng)需要，向貸款方借款。雙方本著互惠互利的目的，友好協(xié)商，特制訂本合同。

　　For its production and operation， the Borrower intends to borrow money from the Lender. For the mutual benefits， both Parties agree to conclude this Contract.

　　第一條借款金額 Article 1 Amount of Loan

　　第二條借款用途Article 2 Scope for Use

　　本合同所約定的貸款僅用于借款方生產(chǎn)銷售砂石品業(yè)務(wù)，不得挪作它用。

　　The loan hereof is only for Borrower‘s Stone Business and shall not be appropriated for other use.

　　第三條利率及還款期Article 3 Interest and Term Repayment

　　1. 如果借款方在合同約定的還期限內(nèi)還清借款，貸款方則不收取借款利息。

　　The Lender agrees that no interest will be payable on the Loan for the term of the loan while the Borrower is not in default of repayment.

　　2. 借款方應(yīng)按照以下還款期向貸款方償還借款：

　　The Borrower agrees to repay the Loan to the Lender in accordance with the following repayment schedule：

　　在本合同簽訂之日起十二個(gè)月內(nèi)償還借款美元；

　　Repayment due on or before the date 12 months from the date of this agreement.

　　在本合同簽訂之日起二十四個(gè)月內(nèi)償還借款美元；

　　Repayment due on or before the date 24 months from the date of this agreement.

　　在合同簽訂之日起三十六個(gè)月內(nèi)償還借款美元。

　　第四條管理費(fèi)用Article 4 Management Fee

　　1.借款方同意在借款期內(nèi)，向貸款方支付管理費(fèi)用，管理費(fèi)用的金額為借款方砂石品業(yè)務(wù)銷售總額1.4%.

　　The Borrower agrees to pay to the Lender a sum equivalent to 1.4% of the total income received by the Borrower， from the sales turnover of the Stone Business， during the term of the loan.

　　2. 借款方同意按第4.3條約定自每一財(cái)務(wù)季度結(jié)束之日起三十日內(nèi)向貸款方支付管理費(fèi)用，付款時(shí)間表如下：

　　Subject to clause 4.3 the Borrower agrees to pay the Management Fee to the Lender in arrears on or before the date 30 days following the end of the previous financial quarter in accordance with the following payment schedule：

　　每年一月一日至三月三十一日期間的管理費(fèi)用；

　　Management Fee calculated for the period 1 January – 31 March each year.

　　每年四月一日至六月三十日期間的管理費(fèi)用；

　　Management Fee calculated for the period 1 April – 30 June each year.

　　每年七月一日至九月三十日期間的管理費(fèi)用；

　　Management fee calculated for the period 1 July – 30 September each year.

　　第五條浮動(dòng)抵押 Article 5 Floating Mortgage

　　1. 借款方以其現(xiàn)有的和將來擁有的生產(chǎn)設(shè)備、原材料、成品和半成品向貸款方提供抵押。

　　The Borrower agrees to Mortgage to the Lender all equipments， raw materials， finished and unfinished goods owned now and in the future by the Borrower.

　　2.《抵押物清單》對(duì)抵押物價(jià)值的約定，并不作為貸款方依本合同對(duì)抵押物進(jìn)行處分的估價(jià)依據(jù)，也不構(gòu)成貸款方行使抵押權(quán)的任何限制。

　　The value of the Mortgaged properties stipulated in the shall neither be deemed as the price of sale nor as any limit on the Mortgagee‘s right， while the Lender exercises its right.

　　3. 抵押物的相關(guān)有效證明和資料由當(dāng)事人確認(rèn)封存后，由借款方交與貸款方保管，但法律法規(guī)另有規(guī)定的除外。

　　Subject to any the laws and regulations， any information and certifications in respect of the Mortgaged properties shall be handed over by the Borrower to the Lender after sealed.

　　4. 浮動(dòng)抵押擔(dān)保的范圍為本金、利息、管理費(fèi)、違約金、賠償金以及實(shí)現(xiàn)債權(quán)所發(fā)生的一切費(fèi)用，包括但不限于訴訟費(fèi)、公證費(fèi)、仲裁費(fèi)、律師費(fèi)、財(cái)產(chǎn)保全費(fèi)、差旅費(fèi)、執(zhí)行費(fèi)、評(píng)估費(fèi)、拍賣費(fèi)等。

　　The floating Mortgage hereof secures the principal， interests， management fees， compensation， and any other cost arising from the enforcement of the Lender‘s right pursuant to this Contract， including but without limitation court fee， cost for notarization， arbitration fee， attorney fee， fee for custody， traveling expense， compulsory execution fee， assessment fee and auction fee.

　　5. 借款方應(yīng)自本合同簽訂之日起三十日內(nèi)向有關(guān)部門辦理本合同的審批、備案和登記等事宜，所產(chǎn)生的費(fèi)用由借款方承擔(dān)。

　　The Borrower shall apply for administrative approval， record-keeping and registration on its own fee in thirty days from the signing of this Contract.

　　6. 借款方應(yīng)當(dāng)合理使用和妥善保管抵押物，如抵押物的價(jià)值比本合同簽訂時(shí)的評(píng)估價(jià)減少15%以上的，借款方應(yīng)當(dāng)在三日內(nèi)通知貸款方。貸款方有權(quán)要求借款方繼續(xù)提供相應(yīng)擔(dān)保或者提前還款。

　　The Borrower shall use and keep the Mortgaged properties in a reasonable manner， in case the value of the Mortgaged properties have been reduced by 15% from the agreed value at the date of signing this Contract， the Borrower shall inform the Lender. The Lender is entitled to require the Borrower for appropriate securities or for repayment immediately.

　　7. 貸款方在借款方發(fā)生以下情形之一時(shí)，可以行使抵押權(quán)：

　　The Lender is entitled to exercise its Mortgagee‘s right， in the following cases：

　　（1）借款方違反本合同所約定的義務(wù)；

　　The Borrower is in default of its obligation hereof；

　　（2）經(jīng)營(yíng)情況嚴(yán)重惡化、減少注冊(cè)資本；

　　The Borrower‘s business has seriously deteriorated or reduced the registered capital.

　　（3）借款方分立、合并； The Borrower is to be or has been divided or merged；

　　（4）借款方涉及重大糾紛訴訟，涉案標(biāo)的30萬元人民幣以上；

　　The Borrower is involved in an important litigation or any other dispute of which the amount is above 300，000RMB.

　　（5）借款方破產(chǎn)、歇業(yè)、解散、被停業(yè)整頓、被吊銷營(yíng)業(yè)執(zhí)照；

　　The borrower risks to bankruptcy or goes bankrupt， closes out， dissolves， has been asked to suspend business to raise standards or has its license revoked；

　　（6）借款方住所或法定代表人發(fā)生變更；

　　The business place or the legal representative has been changed；

　　（7）其他因借款方原因可能導(dǎo)致貸款方擁有抵押權(quán)無法實(shí)現(xiàn)的情形。

　　The Lender could not enforce the Mortgagee‘s right because of any other event due to the Borrower.

　　借款方發(fā)生或很可能發(fā)生以上情形之一的，貸款方書面通知借款方之日為浮動(dòng)抵押財(cái)產(chǎn)確定之日。若借款方不簽收通知回執(zhí)的，貸款方有權(quán)按本合同第十四條所示方法通知，視為乙方已經(jīng)收到。

　　If any case above said occurs or more than likely to occur， the floating Mortgage converts into being fixed Mortgage at the date of notice sent by the Lender. If the Borrower refuses to sign receipt， it is deemed to have received the notice sent by the Lender in according article 14.

　　第六條陳述與保證Article 6 Presentations and Warranties

　　借款方在此陳述并保證以下事項(xiàng)屬實(shí)，否則承擔(dān)欺詐的法律責(zé)任：

　　The Borrower hereby presents and warrants all the following facts， otherwise it shall be liable for fraud.

　　1.借款方是本合同項(xiàng)下抵押財(cái)產(chǎn)完全的、有效的、合法的所有者；該抵押財(cái)產(chǎn)不存在權(quán)屬方面的爭(zhēng)議。

　　The Borrower has the entire， valid and legal ownership of the Mortgaged properties without any dispute or claim.

　　2. 本合同項(xiàng)下抵押財(cái)產(chǎn)不存在瑕疵。

　　No defect on the Mortgaged properties.

　　3. 本合同項(xiàng)下的抵押財(cái)產(chǎn)依法可以設(shè)定抵押，設(shè)立本合同的抵押不會(huì)受到任何限制。

　　The Mortgaged properties are legally available for Mortgage without any limitation.

　　4. 本合同項(xiàng)下的抵押財(cái)產(chǎn)未被依法查封、扣押。

　　The Mortgaged properties haven‘t been sealed or seized.

　　借款方在此保證在合同存續(xù)期間，未經(jīng)貸款方書面同意，不從事以下行為：

　　Without the Lender‘s prior written consent， the Borrower hereby warrants that during the term of this Contract， it will not：

　　1. 對(duì)公司的利潤(rùn)進(jìn)行分紅；

　　Pay any dividend in respect of its profits to its shareholders；

　　2. 在一個(gè)財(cái)務(wù)季度內(nèi)購(gòu)買價(jià)值合計(jì)25，000美元以上的生產(chǎn)設(shè)備；

　　Not acquire an aggregate of more than US$25，000 worth of plant or equipment in a calendar quarter；

　　3. 對(duì)抵押財(cái)產(chǎn)再次設(shè)立抵押、質(zhì)押或者出租、贈(zèng)予抵押財(cái)產(chǎn)。

　　Remortgage， reMortgage， rent or give the Mortgaged properties to any other person；

　　第七條經(jīng)銷Article 7 Distribution

　　借款方同意貸款方在本合同約定的條件下，在世界范圍內(nèi)銷售借款方生產(chǎn)的噴砂和拋光研磨纖維石產(chǎn)品（“砂石產(chǎn)品”）

　　The Borrower agrees that the Lender may distribute the “spray-stone” and “super-stone” products （“Stone Products”） anywhere in the world and on whatever terms it sees fit for the term of this agreement.

　　在本合同訂立之日至20xx年12月31日期間，借款方向貸款方出售砂石產(chǎn)品的價(jià)格不高于當(dāng)次交易時(shí)最近三個(gè)月借款方出售砂石產(chǎn)品的最低價(jià)格。

　　The Borrower agrees that from the date of this agreement until 31 December 20xx it will sell the Stone Products to the Lender at a price no higher than the lowest price for which it sold the Stone Products in the immediately preceding 3 month period.

　　本條所賦予的經(jīng)銷權(quán)是非獨(dú)家經(jīng)銷權(quán)。

　　The rights conferred by this clause are non-exclusive.

　　貸款方同意在20xx年12月31日前，不向借款方簽訂本合同時(shí)已有的顧客出售砂石產(chǎn)品。該客戶名單以簽訂合同當(dāng)天本合同雙方書面確認(rèn)的名單為準(zhǔn)。

　　The Lender agrees that it will not prior to 31 December 20xx sell the Stone Products to any existing customer of the Borrower at the time of this agreement. Only those customers of the Borrower confirmed in writing by the Parties hereof at the time of this agreement have the binding effect.

　　第八條監(jiān)督檢查Article 8 Supervision

　　貸款方和保證人有權(quán)檢查貸款使用情況。檢查時(shí)，借款方對(duì)調(diào)閱有關(guān)文件、賬冊(cè)和記賬憑證，查核物資庫存，生產(chǎn)情況以及其它與借款人的清償能力有關(guān)的信息，必須給予方便。

　　The Lender and the Surety have the right to supervise the use of loan. The Borrower shall provide all kinds of facility to the Lender and Surety to check the relevant documents， accounting books， accounting vouchers， inventory， production and any other information relating to the solvency of the Borrower.

　　第九條違約責(zé)任Article 9 Liability

　　1. 借款方不按合同規(guī)定的用途使用借款，貸款方有權(quán)提前收回全部貸款，對(duì)違約使用的部分，收取12%/年的`利息。

　　1. As if the Borrower appropriates the loan from use stipulated herein， the Lender is entitled to get back the entire loan immediately and to claim for interests on the amount of loan appropriated at the rate of 12%/year.

　　2.借款方如逾期不還借款，貸款方有權(quán)追回借款，并按0.05%每天加收罰息。

　　As if the Borrower fails the repay the loan in time， the Lender is entitled to get back the entire loan immediately and to claim for delayed repayment interest at the rate of 0.05% per day.

　　第十條法律適用Article 10 Governing Law

　　本借款合同的效力、履行、變更、終止和解釋均適用有關(guān)法律法規(guī)。

　　The validity，performance， modification， termination and interpretation of this Contract are governed by law.

　　第十一條爭(zhēng)議解決Article 11 Dispute Resolution

　　對(duì)本合同的效力、履行、變更、終止或解釋發(fā)生爭(zhēng)議，由當(dāng)事人雙方協(xié)商解決。協(xié)商不成，雙方同意向有管轄權(quán)的人民法院起訴。

　　CONSULTING AGREEMENT

　　3. CONSULTING FEE.

　　(a) Subject to the provisions hereof, the Company shall pay Consultant a consulting ($______) Dollars for each hour of Services provided to the Company (the ting form, a listing of his/her hours, the Duties performed and a summary of his/her activities. The Consulting Fee shall be paid within fifteen (15) days of the Company’s receipt of the report and invoice.

　　4. EARLY TERMINATION OF THE TERM.

　　(a) If the Consultant voluntarily ceases performing his/her Duties, becomes physically or mentally unable to perform his/her Duties, or is terminated for cause, then, in each instance, the Consulting Fee shall cease and terminate as of such date. Any termination “For Cause” shall be made in good faith by the Company’s Board of Directors.

　　(b) This Agreement may be terminated without cause by either party upon not less than thirty (30) days prior written notice by either party to the other.

　　(c) Upon termination under Sections 4(a) or 4(b), neither party shall have any further obligations under this Agreement, except for the obligations which by their terms survive this termination as noted in Section 16 hereof. Upon termination and, in any case, upon the

　　retain as a consultant any employee or consultant of the Company; or

　　(iv) induce or attempt to induce any supplier or vendor of the Company to

　　6. PROPRIETARY RIGHTS.

　　(a) For the purposes of this Article 6, the terms set forth below shall have the following meanings:

　　(i) to Consultant or which are first developed by Consultant during the course of the performance of Services hereunder and which relate to the Company' present, past or prospective business activities, services, and products, all of which shall remain the sole and exclusive property of the Company. The Consultant shall have no publication rights and all of the same shall belong exclusively to the Company.

　　(ii) For the purposes of this Agreement,

　　Confidential Information shall mean and collectively include: all information relating to the business, plans and/or technology of the Company including, but not limited to technical information including inventions, methods, plans, processes, specifications, characteristics, assays, raw data, scientific preclinical or clinical data, records, databases, formulations, clinical protocols, equipment design, know-how, experience, and trade secrets; developmental, marketing, sales, customer, supplier, consulting relationship information, operating, performance, and cost information; computer programming techniques whether in tangible or intangible form, and all record bearing media

　　include any information which: (a) can be demonstrated to have been in the public domain or was publicly known or available prior to the date of the disclosure to Consultant; (b) can be demonstrated in writing to have been rightfully in the possession of Consultant prior to the disclosure of such information to Consultant by the Company; (c) becomes part of the public domain or publicly known or available by publication or otherwise, not due to any unauthorized act or omission on the part of Consultant; or (d) is supplied to Consultant by a third party without binder of secrecy, so long as that such third party has no obligation to the Company or any of its affiliated companies to maintain such information in confidence.

　　(b) Except as required by Consultant's Duties, Consultant shall not, at any time now or in the future, directly or indirectly, use, publish, disseminate or otherwise disclose any Confidential Information, Concepts, or Ideas to any third party without the prior written consent of the Company which consent may be denied in each instance and all of the same, together with publication rights, shall belong exclusively to the Company.

　　(c) All documents, diskettes, tapes, procedural manuals, guides, specifications, plans, drawings, designs and similar materials, lists of present, past or prospective customers, customer proposals, invitations to submit proposals, price lists and data relating to the pricing of the Company' products and services, records, notebooks and all other materials containing Confidential Information or information about Concepts or Ideas (including all copies and reproductions thereof), that come into Consultant's possession or control by reason of Consultant's performance of the relationship, whether prepared by Consultant or others: (a) are the property of the Company, (b) will not be used by Consultant in any way other than in connection with the performance of his/her Duties, (c) will not be provided or shown to any third party by Consultant, (d) will not be removed from the Company's or Consultant’s premises (except as Consultant's Duties require), and (e) at the termination (for whatever reason), of Consultant's relationship with the Company, will be left with, or forthwith returned by Consultant to the Company.

　　In performance of the services under this contract, Party B may receive proprietary and confidential information from Party A. All such information shall be safeguarded and not be disclosed to third parties without approval by Party A.

　　such attempt fails, either party shall be entitled to submit the dispute to China International Economic and Trade Arbitration Commission.

　　The Buyer， on receipt from the Seller of the delivery advice， shall open an irrevocable letter of credit with the Bank of China， in favor of the Seller for the total value of shipment 25 – 30 days prior to the date of delivery. The credit shall be available against Seller‘s draft drawn at sight on the opening bank for 100% invoice value accompanied by the shipping documents specified in Clause 10 hereof. Payment shall be effected by the opening bank by telegraphic transfer against presentation of the aforesaid draft and documents. The letter of credit shall be valid until the 20th day after the shipment is effected.

　　買方收到賣方交貨通知，應(yīng)在交貨日期前25 – 30 天，由中國(guó)銀行開出以賣方為受益人的與裝運(yùn)金額相同的不可撤銷的信用證。賣方須向開證行出具100％發(fā)票金額即期匯票并附本合同第10款所規(guī)定的裝運(yùn)單據(jù)。開證行收到上述匯票和裝運(yùn)單據(jù)即予以電匯支付。信用證于裝運(yùn)日期后20天內(nèi)有效。

　　（2） Collection：

　　The Seller may present the sight draft together with the shipping documents （specified in Clause 10 hereof） through the Seller‘s bank and Buyer’s Bank to the Buyer for collection after shipment.

　　貨物裝運(yùn)后，賣方出具即期匯票，連同本合同第10款規(guī)定的裝運(yùn)單據(jù)，通過賣方所在地銀行和買方銀行提交給買方托收。

　　（3） By direct remittance：

　　（3）直接付款

　　Payment shall be effected by the Buyer， by telegraphic transfer， within 7 （seven） days after receipt from the Seller of the shipping documents specified in the Clause 10 hereof.

　　買方收到本合同第10款規(guī)定的裝運(yùn)單據(jù)后7天內(nèi)，以電匯向賣方支付貨款。

　　10. Documents：

　　（1） In case of sea-freight：

　　Full set of clean bills of lading marked “Freight to Collect”， “Freight Prepaid” made out to bank endorsed notifying Zhonghua International Technology Development Corporation at the port of destination.

　　One copy of airway bill marked “Freight to Collect”， Freight Prepaid“ and sent to the Buyer.

　　空運(yùn)提單副本一份，標(biāo)明“運(yùn)費(fèi)付訖”，“運(yùn)費(fèi)預(yù)付”，寄交買方。

　　（3） Invoice in 4 copies indicating contract number and shipping mark， made out in details as per the contract concerned.

　　（4） Packing list in 2 copies issued by the manufacturer.

　　In addition， the Seller shall， within 10 （ten） days after shipment， send by airmail two sets of aforesaid documents （except item 4） with one set directly to the Buyer and one set directly to Zhonghua International Technology Development Corporation at the port of destination.

　　此外，發(fā)貨10天內(nèi)，賣方將上述單據(jù)（第5條除外）航寄兩份，一份直接給買方，一份直接給目的港的中華國(guó)際開發(fā)公司。

　　11. Shipment

　　11、裝運(yùn)

　　（1） In case of FOB terms

　　（1）離岸價(jià)格條款（FOB條款）

　　a. The Seller shall， 30days before the contracted date of shipment， advise the Buyer by cable or letter of the contract number， name of commodity， quality， value， package number， gross weight， measurement and date of readiness at the port of shipment for the Buyer to book shipping space.

　　1）賣方于合同規(guī)定的裝運(yùn)日期前30天，用電匯或信件將合同號(hào)、品名、數(shù)量、價(jià)值、箱號(hào)、毛重、裝箱尺寸和貨物抵裝運(yùn)港日期通知買方，以便買方租船訂艙。

　　b. Booking of shipping space shall be arranged by the Buyer‘s shipping agent， China Ocean Shipping Agency.

　　2）買方船運(yùn)代理中國(guó)外輪代理公司，負(fù)責(zé)辦理租船訂艙事宜。

　　c. The Buyer‘s shipping agent （China Ocean Shipping Agency） shall send to the Seller notice indicating the name of vessel， estimated date of loading and contract number for the Seller to arrange shipment 10 （ten） days before the estimated date of arrival of the vessel at the loading port. The Seller is requested to get in close contract with the shipping agent. When it becomes necessary to change the carrying vessel or to advance or delay the arrival date， the Buyer or the shipping agent shall advise the Seller in time. Should the vessel fail to arrive at the loading port within 30 （thirty） days after the arrival date advised by the Buyer， the Buyer shall bear the storage and insurance expenses incurred from the 30 day thereafter.

　　3）買方船運(yùn)代理（中國(guó)外輪代理公司）預(yù)計(jì)船抵達(dá)裝運(yùn)港10天之前，將船名、預(yù)計(jì)裝貨日期、合同號(hào)等通知賣方，以便賣方安排裝運(yùn)。要求賣方與船運(yùn)代理保持密切聯(lián)系。當(dāng)需要更換承運(yùn)船只及船只提前、推遲抵達(dá)時(shí)，買方或其船運(yùn)代理應(yīng)及時(shí)通知賣方。如船在買方通知日后30天內(nèi)未能到達(dá)，則第30天后倉(cāng)儲(chǔ)費(fèi)和保險(xiǎn)費(fèi)用由買方承擔(dān)。

　　d. The Seller shall be liable for any dead freight or demurrage， should it happen that they have failed to have the commodity ready for loading after the carrying vessel has arrived at the port of shipment on time.

　　4）如承運(yùn)船如期抵達(dá)裝運(yùn)港，賣方因備貨未妥而影響裝船，則空艙費(fèi)和滯期費(fèi)均由賣方承擔(dān)。

　　e. The Seller shall bear all expenses and risks before the commodity passes over the vessel‘s rail and is released from the tackle. After it has passed over the vessel’s rail and is released from the tackle， all expenses and risks shall be in Buyer‘s account. 5）貨物超過船舷并從吊鉤卸下前，一切費(fèi)用和風(fēng)險(xiǎn)由賣方承擔(dān)；貨物超過船舷并從吊鉤卸下，一切費(fèi)用和風(fēng)險(xiǎn)由買方承擔(dān)。

　　（2） In case of CFR terms

　　（2）成本加運(yùn)費(fèi)價(jià)條款（CFR條款）

　　a. The Seller shall ship the goods within the shipment time from the loading port to the port of destination. Transshipment is not allowed.

　　1）在裝運(yùn)期內(nèi)，賣方負(fù)責(zé)將貨物從裝運(yùn)港裝運(yùn)至目的港。不得轉(zhuǎn)船。

　　b. In case the goods are to be dispatched by air freight， the Seller shall， 30 （thirty） days before the time of delivery as stipulated in Clause 5， inform the Buyer by cable or letter of the estimated date of delivery， contract number， name of commodity， and invoiced value. The Seller shall， immediately after dispatch of the goods， advise the Buyer by cable or letter of the contract number， name of commodity， invoiced value and date of dispatch for the Buyer to arrange the insurance in time.

　　2）貨物空運(yùn)時(shí)，賣方于本合同第5條規(guī)定的交貨日期前30天，以電報(bào)或信件把預(yù)計(jì)交貨期合同號(hào)、品名、發(fā)票金額等通知買方。發(fā)貨后，賣方立即以電報(bào)或信件將合同號(hào)、品名、發(fā)票金額、發(fā)貨日期通知買方，以便買方及時(shí)投保。

　　12. Shipping advice

　　12、裝運(yùn)通知

　　The Seller shall， immediately on the completion of the loading of the goods， advise the Buyer by cable or letter of the contract number， name of commodity， quantity， invoiced value， gross weight， name of vessel and date of sailing. In case the Buyer fails to arrange insurance in time due to the Seller‘s not having cabled in time， all losses shall be borne by the Seller.

　　貨物一俟全部裝船，賣方應(yīng)即將合同號(hào)、呂名、數(shù)量、發(fā)票金額、毛重、船名及啟航日期用電報(bào)或信件通知買方。如因賣方未能及時(shí)通知致使買方不能及時(shí)投保，賣方則承擔(dān)全部損失。

　　13. Guarantee of quality

　　13、質(zhì)量保證

　　The Seller guarantees that the commodity hereof is made of the best materials with first class workmanship， brand new， unused， and complies with the quality and specifications stipulated in this contract. The guarantee period shall be 12 （twelve） months staring from the date on which the commodity arrives at the port of destination.

　　賣方保證：所供貨物由最好的材料及精湛工藝制成，商標(biāo)為新的和未經(jīng)使用的，其質(zhì)量和規(guī)格符合本合同所做的說明。自貨物到達(dá)目的港起12個(gè)月為質(zhì)量保證期。

　　14. Claims

　　14、索賠

　　Except those claims for which the insurance company or the owners of the vessel are liable， should the quality， specifications or quantity be found not in conformity with the stipulations of the contract， within 90 （ninety） days after the arrival of the goods at destination， the Buyer can use the Inspection Certificate issued by China National Import and Export Commodities Inspection Corporation to claim for replacement as compensation. All the expenses incurred （such as inspection charges， freight charges for returning and sending of replacement， insurance premium， storage， loading and unloading charges） shall be borne by the Seller.

　　自貨物到達(dá)目的港起90天內(nèi)，如發(fā)現(xiàn)貨物質(zhì)量、規(guī)格、數(shù)量與合同規(guī)定不符，除那些應(yīng)由保險(xiǎn)公司或由船方承擔(dān)的部分外，買方可憑中國(guó)進(jìn)出口商品檢驗(yàn)總公司出具的商檢證書，有權(quán)要求更換或索賠。

　　In regard to quality， the Seller shall guarantee that if， within 12 （twelve） from the date of arrival of the goods at destination， damages occur in the course of operation by reason of inferior quality of material or bad workmanship， the Buyer shall immediately notify the Seller in writing and put forward a certificate issued by the CCIC. The certificate so issued shall be accepted as the base of the claim. The Seller， in accordance with the Buyer‘s claim， shall be responsible for the immediate elimination of the defects， complete or partial replacement of the commodity， or devaluate the commodity according to the state of defects. Where necessary， the Buyer may eliminate the defects themselves at the Seller’s expenses. If the Seller fails to reply within on month after receipt of the aforesaid claim， the claim shall be reckoned as having been accepted by the Seller.

　　賣方保證，貨物到達(dá)目的港12個(gè) 月內(nèi)，如果使用過程中由于材料質(zhì)量低劣和工藝不佳而出現(xiàn)的損壞，買方立即以書面形式通知賣方并出具中國(guó)進(jìn)出口商品檢驗(yàn)總公司開列的檢驗(yàn)證書，提出索賠。商檢證書為索賠的依據(jù)。按買方索賠要求，賣方有責(zé)任立即排除貨物的缺陷、全部或部分更換或根據(jù)缺陷情況將貨物作降價(jià)處理。

　　15. Force Majeure

　　15、不可抗力

　　The Seller shall not be held responsible for delay in shipment or non-delivery of the goods due to Force Majeure， which might occur during the process of manufacturing or in the course of loading. The Seller shall advise the Buyer of the occurrence mentioned above within 15 （fifteen） days and send by airmail a certificate of the incident issued by the local government to the Buyer. Even in such cases， the Seller is still liable to take all possible measures to expedite the delivery of goods.

　　在貨物制造和裝運(yùn)過程中，由于發(fā)生不可抗力事故致使延期交貨或不能交貨，賣方概不負(fù)責(zé)。賣方在不可抗力事件發(fā)生后，應(yīng)立即通知買方并在事發(fā)14天內(nèi)，將事故發(fā)生所在地當(dāng)局簽發(fā)的證書航空郵寄給買方以作證據(jù)。即使在此情況下，賣方仍有責(zé)任采取必要的措施，盡快交貨。

　　Should the Seller fails to perform the contracted obligations 10 （ten） weeks after the aforesaid incident， the Buyer shall have the right to treat the contract as null and void.

　　不可抗力事故發(fā)生后超過10個(gè)星期而合同尚未履行完畢，買方有權(quán)撤銷合同。

　　16. Late delivery and penalty

　　16、合同延期和罰款

　　Should the Seller fail to make delivery within the contracted period for reasons other than Force Majeure specified in Clause 15 hereof， the Buyer may accept the postponement on condition that the Seller agrees to pay a penalty which shall be deducted by the paying bank from the agreed amount of payment. The penalty， however， shall not exceed 5% （five percent） of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.55（zero point five percent） for every seven days， odd days less than seven days should be counted as seven days. In case the Seller fails to make delivery ten weeks later than the shipment stipulated in the contract， the Buyer shall have the right to cancel the contract. The Seller， in spite of the cancellation， shall still pay the aforesaid penalty to the Buyer without delay.

　　除本合同第15條所述不可抗力原因外，賣方如不能按合同規(guī)定如期交貨，并同意支付罰金，買方可同意延期交貨，付款銀行相應(yīng)減少議定的支付金額，但罰款不得超過遲交貨物總額的5％。賣方如逾期10個(gè)星期仍不能交貨，買方有權(quán)撤銷本合同。盡管合同已撤銷，但賣方仍應(yīng)如期支付上述罰金。

　　17. Arbitration

　　17、仲裁

　　All deputes in connection with this contract or the execution thereof shall be settled through friendly consultations. Should no settlement be reached， the case may then be submitted for arbitration to the Foreign Economic and Trade Arbitration Commission of the CCPIT in accordance with the rules and procedures of the said Arbitration Commission. The arbitration shall take place in 15 （fifteen） days. The decision of the Arbitration Commission shall be final and binding on both Parties. The arbitration fee shall be borne by the losing Party. The arbitration may also be settled in a third country mutually agreed upon by both Parties.

　　凡與本合同有關(guān)或因執(zhí)行本合同而發(fā)生的一切糾紛，應(yīng)通過友好協(xié)商解決，如果協(xié)商不能解決，則可提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)對(duì)外經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)并根據(jù)該會(huì)仲裁法則和程序進(jìn)行仲裁。仲裁將在15天內(nèi)進(jìn)行，仲裁裁決為最終裁決，對(duì)雙方都有約束力。仲裁費(fèi)用由敗訴方承擔(dān)。仲裁也可在雙方都能接受的第三國(guó)進(jìn)行。

　　18. Special provisions
