  7. obligations of party b

  1) party b will pay the rental and the deposit on time.

  3) party b will not transfer the lease of the premises or sublet it without party a‘s approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

  8. termination and dissolution of the contract

  1) within one month before the contract expires, party b will notify party a if it intends to extend the lease. in this situation, two parties will discuss matters over the extension.under the same terms party b has the priority to lease the premises.

  2) when the lease term expires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party a‘s previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection.

  3) this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another party‘s agreement. anything not covered in this contract will be discussed separately by both parties.

  9. breach of the contract

  1) during the lease term, any party who fails to fulfill any article of this contract without the other party‘s understanding will be deemed to breach the contract. both parties agree that the default fine will be . in case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

  七、乙方義務(wù)obligations of party b

  1. 乙方應(yīng)按合同的規(guī)定按時(shí)支付定金、租金及保證金。

  party b will pay the rental, the deposit and other expenses on time.

  2. 乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的'設(shè)備搬走,并保證不影響房屋的完好及正常使用。

  party b may decorate the premises and add new facilities with party as approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.

  3. 未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛(ài)護(hù)使用該房屋如因乙方過(guò)失或過(guò)錯(cuò)致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。

  party b will not transfer the lease of the premises or sublet it without party as approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

  4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。

  party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it

  八、合同終止及解除的規(guī)定termination and dissolution of the contract

  1. 乙方在租賃期滿后如需退租或續(xù)租,應(yīng)提前兩個(gè)月通知甲方,由雙方另行協(xié)商退租或續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

  5.2:THE LESSEE shall not carry in the premises any unlawful of illegal activities which are not allowed according to China laws and the leasing regulations of the government. Otherwise, THE LESSOR shall have the right to take back the premises after a prior written notice to THE LESSEE.

Otherwise, THE LESSOR can terminate the contract and confiscate the deposit. THE LESSEE and the third party shall return the property unconditionally to THE LESSOR.   因乙方使用不當(dāng),房屋及其內(nèi)的設(shè)施出現(xiàn)損壞,乙方應(yīng)及時(shí)聯(lián)絡(luò)管理機(jī)構(gòu)進(jìn)行維修,并負(fù)擔(dān)有關(guān)維修費(fèi)用。若乙方拒不維修或賠償,甲方有權(quán)代為維修,維修所需費(fèi)用由乙方承擔(dān);但由于不可抗力,如地震、臺(tái)風(fēng)、洪水、非人為的火災(zāi)等,自然損耗或乙方以外的原因造成的損壞,由甲方承擔(dān)有關(guān)費(fèi)用。

  5.6:THE LESSEE, upon written permission of THE LESSOR, may make additions or alterations dealing with water, electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of THE LESSOR. No structural alterations can be removed from the premises, upon expiration or termination of this contract. No reimbursement for said additions, and any structural damage to the premises must be repaired or compensated by THE LESSEE.

  租賃期內(nèi),乙方對(duì)出租房屋進(jìn)行裝修或增加設(shè)施須征得甲方同意并經(jīng)政府有關(guān)部門(mén)批準(zhǔn),并由甲方執(zhí)行監(jiān)理,所需費(fèi)用由乙方承擔(dān)。雙方解約時(shí),乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施,甲方亦不必對(duì)上述添加設(shè)施進(jìn)行補(bǔ)償。如損壞原有之設(shè)施,由乙方負(fù)責(zé)修復(fù)或賠償。

  5.7:THE LESSEE shall obey the regulations made by the management office such as not to litter or take any private use of public area and etc.

  租用房屋之內(nèi)部衛(wèi)生,設(shè)施保養(yǎng)、維護(hù)均由乙方負(fù)責(zé)。乙方不得占用公共場(chǎng)所及通道作任何用途。

  5.8:THE LESSEE shall have the right to move in after paying off the deposit and the first term of rental.

  乙方在付清押金,首期租金后即可入住。

  5.9:In case there is a cut of water, power or any other hitch which is caused by the accident beyond the control of THE LESSEE, THE LESSOR shall take the responsibility to assist and push the authorities concerned to repair and resume it as soon as possible.若由于甲方以外原因?qū)е鲁鲎夥课萃Kk娀蚱渌收希追接辛x務(wù)敦促并協(xié)助有關(guān)部門(mén)搶修,使之盡快得以恢復(fù)。

  5.10:THE LESSEE shall not store in or out of the premises any inflammable or dangerous thing, nor let any corrosive or dirty thing come out of the premises.

  乙方須做好安全及防火工作,不得在房屋內(nèi)外存儲(chǔ)或排放有害,腐蝕性或污臭物質(zhì),嚴(yán)禁存儲(chǔ)易燃,易爆品。

  5.11:Insurance: THE LESSOR will retain insurance on his property and belongings, and THE LESSEE will be responsible for his own property brought into or kept in proximity of the premises. If there is anything lost, THE LESSOR shall assist to conduct investigations, but has no responsibility to compensate it.

  乙方須負(fù)責(zé)好自己帶來(lái)的財(cái)物,妥善保管,如有意外,甲方可協(xié)助調(diào)查,但不負(fù)責(zé)賠償。

  5.12:THE LESSEE shall return the property intact to THE LESSOR at the expiration of the contract if there is no renewal thereupon. THE LESSOR shall have the right to take any effective measures to take back the premises in case that THE LESSEE refuses to move out at the expiration of the contract.

  租賃期滿,若甲、乙雙方未達(dá)成續(xù)租協(xié)議,乙方應(yīng)于租期屆滿時(shí)或之前遷離出租房屋并將鑰匙及房屋按租用時(shí)之狀況歸還甲方。若乙方逾期不遷離或不歸還出租房屋,則甲方有權(quán)采取有效措施收回出租房屋并另行處理。

  5.13:THE LESSOR or his nominees, with the pre-notice and consent to THE LESSEE, shall have the right to inspect or repair the premises at any reasonable time (except for emergency). If THE LESSEE had any trouble ,which was foreign to THE LESSOR ,with the third party。在雙方合同期間或解除合同后,乙方與第三方的任何糾紛都與甲方無(wú)關(guān),乙方應(yīng)自行解決。

  LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the

  responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.

  (18) 質(zhì)量/數(shù)量異議:對(duì)于質(zhì)量方面的異議,買(mǎi)方必須在貨物抵達(dá)目的港后30天之類(lèi)提出:對(duì)于數(shù)量方面的異議,買(mǎi)方必須在貨物抵達(dá)目的港后15天之內(nèi)提出。對(duì)由于保險(xiǎn)公司、運(yùn)輸公司、其他運(yùn)輸機(jī)構(gòu)或郵局的原因所造成的.貨物差異,賣(mài)方不負(fù)任何責(zé)任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.

  (19) 不可抗力:賣(mài)方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的,不負(fù)責(zé)任:水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣(mài)方不能預(yù)料、無(wú)法控制且不能避免和克服的.事件。但賣(mài)方因盡快地將所發(fā)生的事件通知對(duì)方,并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的`不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天,雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

  FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.

  (20) 仲裁:因履行本合同所發(fā)生的一切爭(zhēng)議,雙方應(yīng)友好協(xié)商解決,如協(xié)商仍不能解決爭(zhēng)議,則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京),依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的,對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān),但仲裁委員會(huì)另有裁定的除外。在仲裁期間,除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。

  ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and

  Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.

  8.宣傳廣告費(fèi)用

  9.協(xié)議有效期

  all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trade arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decision made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party ,unless otherwise awarded.

  11.其他條款

  other terms & conditions

  (1)甲方不得向經(jīng)銷(xiāo)地區(qū)其他買(mǎi)主供應(yīng)本協(xié)議所規(guī)定的商品。如有詢價(jià),當(dāng)轉(zhuǎn)達(dá)給乙方洽辦。若有買(mǎi)主希望從甲方直接訂購(gòu),甲方可以供貨,但甲方須將有關(guān)銷(xiāo)售確認(rèn)書(shū)副本寄給乙方,并按所達(dá)成交易的發(fā)票金額給予乙方_________%的傭金。

  5.Social Security & Welfare

  b.The Employer should provide the Employee with safety education and technique training; The Employee to be engaged in specialized operations should receive specialized training and acquire qualifications for such special operations.

  c. The Employee should strictly abide by the rules of safe operation in the process of their work.

  7.Labour Discipline

  a.The Employer may draft bylaws and labour disciplines of the Company, According to which, theEmployer shall have the right to give rewards or take disciplinary actions to the Employee;

  b.The Employee shall comply with the management directions of the Employer and obey the bylaws and labour disciplines of the Employer.

  c.The Employee shall undertake the obligation to keep and not to disclose the trade secret for theEmployer during the period of this Contract; This obligation of confidentiality shall survive thetermination of this Contract for a period of two (2)years.

  8.Termination, Modification, Renew and Discharge of the Contract

  a. The relevant clauses of the Contract may be modified by the parties:

  i.The specific clause is required to be modified by the parties through

  iii.The relevant laws and regulations have been modified or abolished by the time of signing the.

  b.The Contract may be automatically terminated:

  e.The Contract may be discharged by the Employer with immediate effect and the Employee will not be compensated:

  i.The Employee does not meet the job requirements during the probationaryperiod;

  ii.The Employee seriously violates disciplines or bylaws of the Employer;

  iii.The Employee seriously neglects his duty, engages in malpractice for selfish ends and brings

  significant loss to the Employer;

  iv.The Employee is being punished by physical labour for its misfeasance

  iii.The circumstances have materially changed from the date this Contract was signed to the extent that it is impossible to execute the Contract provided, however,that the parties cannot reach an agreement to amend the contract to reflect the changed circumstances.

  iv.The Employer is being consolidated in the legal consolidation period on the brink of bankruptcy or the situation of business is seriously in trouble, under such condition, it is required to reduce the

  Force Majeure:

  Arbitration

  Seventh in the case of the following circumstances, Party A shall have the right to unilaterally terminate this Agreement:

  Party B has violated its guarantee and commitment in the third chapter, making this agreement impossible or difficult to carry on.

  The fifth chapter of breach of contract

  Eighth if any party ("defaulting party") in violation of the obligations under this agreement, the party in breach in receipt of the other party ("non defaulting party") for correction of the breach of the written notice, should immediately stop its breach of contract and compensation for losses caused by the non breaching party so all in _____ days. If the defaulting party shall continue to breach or do not fulfill their obligations, the other party in all its losses and get the party in breach compensation, also has the right to terminate this agreement.

  The Ninth Party A, in violation of its guarantee and commitment in the second article of this agreement, does not have the right to request Party B to return the Commission, and shall bear the loss incurred by Party B.

  The tenth Party B shall return the Commission to Party A, and shall bear the loss incurred by Party A as a result of the breach of its guarantee and commitment in the third article of this agreement.

  The Eleventh Party B shall not refund the initial cost for the termination of this agreement by the sixth article of this agreement.

  Twelfth if Party A cant pay the Commission to Party B according to the prescribed time, each overdue day shall pay to Party B ____% surcharge.

  The parties are not liable for the thirteenth article, which can not be performed by this agreement due to force majeure.

  parties (such as the Party As customers or suppliers) of technical and management information, including but not limited to: intellectual property and formulations, new product development process and results, business plans and strategies, financial condition, customer data and vendor information, and so on.

  2.3 甲方以書(shū)面或其他形式確定為商業(yè)秘密的.資料和信息。Data and information which Party A in writing or otherwise identified as trade secret.

  第三條保密期限

  Item 3 Confidentiality Period

  3.1 除非甲方通過(guò)書(shū)面形式明確本協(xié)議所涉及的某項(xiàng)保密內(nèi)容可以不用保密,則乙方應(yīng)從與甲方建立勞動(dòng)關(guān)系之日起(包括試用期內(nèi)),無(wú)限期保守甲方之商業(yè)秘密。Unless Party A make sure in writing that a certain confidential content covered by this agreement can not be confidential , then Party B should keep the Party A ’s trade secret for ever from the date of labor relations (including probation).

  第四條泄密

  Item 4 Leakage of the Trade Secret

  4.1 凡未經(jīng)甲方總經(jīng)理或保密委員會(huì)書(shū)面授權(quán)而直接或間接以任何形式向任何人或任何組織透露上述、涉及保密內(nèi)容的行為均屬泄密。Without the written authorization of the general manager or security committee of party A, behaviors of directly or indirectly, in any form to any person or organization to disclose the above the content, are related to confidential disclosure.

  4.2 當(dāng)甲方將有關(guān)保密內(nèi)容的資料或信息交由乙方保管時(shí),若因乙方保管不當(dāng)造成該資料或信息的`遺失、公開(kāi)、泄露時(shí),同樣視為泄密。When Party A ask party B to keep relating to the contents of confidential data or information, if loss, publicity, disclosure caused by improper storage of the data or information, for party B, the same as a leak.

  第五條違約責(zé)任

  Item 5 Liability for Breach

  5.1 如乙方行為造成泄密的,應(yīng)立即終止泄密行為以及因此而引致的侵犯甲方商業(yè)秘密的行為,積極協(xié)助甲方采取補(bǔ)救措施防止泄密范圍的繼續(xù)擴(kuò)大,并向甲方支付由于違約行為而照成的經(jīng)濟(jì)損失,該損失包括:直接損失、潛在損失以及權(quán)利人為主張權(quán)利而支付的費(fèi)用等。The trade secret leakage caused by the Party B’s behavior, those behavior should be immediately terminated and the acts of infringement on Party A ’s trade secrets should be immediately

  terminated; Party B should actively assist the Party A to take remedial measures to prevent the continued expansion of the disclosure, due to the breach, Party B should pay to Party A according to the caused economic losses, the losses include: direct losses, potential losses and the expenses of the allegation.

  5.2 若該泄密行為發(fā)生在甲、乙雙方勞動(dòng)合同關(guān)系存續(xù)期間,則乙方除承擔(dān)上述責(zé)任外,甲方還有權(quán)無(wú)條件解除與乙方的勞動(dòng)合同。If the leaks occurred during the term of the labor contract between Party A and Party B, In addition to assumption of these responsibilities by Party B, Party A has the right to unconditionally terminate the labor contract with Party B

  第六條爭(zhēng)議解決
